Common use of Planned Outages Clause in Contracts

Planned Outages. ‌ (i) Owner shall submit to O&R the Project’s proposed schedule of Outages planned for maintenance of the Project (“Planned Outage”) for the thirty- six (36) month period following the date such schedule is provided (“Outage Schedule”) no later than ninety (90) days prior to the Guaranteed Commercial Operation Deadline and no later than May 15th in each calendar year during the Contract Term.‌ (ii) Owner shall provide the following information for each proposed scheduled Planned Outage: (A) Description of the work to be performed during the Planned Outage; (B) Start date and time; (C) End date and time; (D) Recall time; (E) Products available (if any) during the Planned Outage; (F) MW derate; and (G) name or single point identifier (PTID) of the asset. (iii) The duration of Planned Outages for the Project over a calendar year, in the aggregate, shall not exceed the lesser of (a) six (6) hours for each MW of the Project and (b) three hundred sixty-six (366) hours. Owner shall carry out activities during Planned Outages in compliance with Good Utility Practice. (iv) O&R and NYISO shall be entitled to direct changes to the Outage Schedule by notification to Owner in writing, and Owner shall comply with O&R’s or NYISO’s direction regarding the timing of any Planned Outages. (v) Owner shall provide Notice to O&R at least seven (7) days prior to the start of any Planned Outage and shall maintain close coordination as the Planned Outage approaches. (vi) Owner shall cooperate with O&R to arrange and coordinate all Outage Schedules with NYISO in compliance with the NYISO Tariff. (vii) If a condition occurs that causes Owner to revise its Planned Outages, Owner shall promptly provide Notice to O&R of such change (including an estimate of the length of such Planned Outage) after the condition causing the change becomes known to Owner, provided that Owner shall bear any costs incurred by O&R for revisions made less than sixty (60) days before the start date of the Planned Outage before such revision occurs or that results in a Planned Outage being scheduled less than sixty (60) days before the start of the revised Planned Outage.

Notwithstanding the foregoing, at any time prior to 48 hours before the start of a Planned Outage that will be more than 7 days long, the Seller may change the proposed start time for the Planned Outage by not more than 48 hours and at any time prior to 48 hours before the end of the Planned Outage, the Seller may change the proposed end time of the Planned Outage on notice to, and without the consent of, the Buyer, provided that if as a result of such notice from the Seller the Planned Outage starts later than originally scheduled, there will be no deemed Eligible Energy under section 7.8 during the period between the originally scheduled start time and the revised start time, and if as a result of such notice from the Seller the Planned Outage ends earlier than originally scheduled, the Energy produced between the originally scheduled end time and the revised end time shall be purchased by the Buyer pursuant to section 7.3; (Bb) Start date and timein accordance with the Buyer’s written instructions, use the Buyer’s web-based application or other system for communicating Planned Outages to the Buyer; (Cc) End date and time; (D) Recall time; (E) Products available (if any) during make commercially reasonable efforts to coordinate all Planned Outages with the Planned Outage; (F) MW derateBuyer’s requirements as notified to the Seller; and (Gd) name or single point identifier (PTID) make commercially reasonable efforts to coordinate all Planned Outages with the maintenance schedules of the asset. Within 14 days after receipt of such a request, the Seller shall provide the Buyer with an estimate, together with reasonable supporting detail, of the costs, if any, the Seller expects to incur, acting reasonably, as a result of rescheduling the Planned Outages Outage in accordance with the Buyer’s request. Within 7 days after receipt of such cost estimate, the Buyer shall notify the Seller if the Buyer requires the Seller to reschedule the Planned Outage, and upon receipt of such notice from the Buyer, the Seller shall adjust the schedule for the Project over a calendar yearPlanned Outage as required by the Buyer, in provided that the aggregate, shall not exceed the lesser of (a) six (6) hours for each MW of the Project and (b) three hundred sixty-six (366) hours. Owner shall carry out activities during Planned Outages in compliance rescheduling is consistent with Good Utility Practice. (iv) O&R Practice and NYISO does not have a materially adverse effect on the operation of the Seller’s Plant or on any facility that is a thermal host for the Seller’s Plant. (ii) Owner shall provide the following information for each proposed scheduled Planned Outage: (A) Description of the work to be performed during the Planned Outage; (B) Start date and time; (C) End date and time; (D) Recall time;; and (E) Products available (if any) during the Planned Outage; (F) MW derate; and (G) name or single point identifier (PTID) of the asset. (iii) The duration of Planned Outages for the Project over a calendar year, in the aggregate, shall not exceed the lesser of (a) six (6) hours for each MW of the Project and (b) three hundred sixtythirty-six (366336) hours. If Buyer agrees to the estimated costs, Supplier shall be required not to institute the Planned Outage, and Buyer shall reimburse Supplier for its documented out-of-pocket costs actually incurred by Supplier in connection with not instituting such Planned Outage (not to exceed the estimated costs that had been provided to Buyer).
