Possession and Use of each Property. The Lessee covenants that each Property shall be used as an office facility or an assembly and research and development facility, as applicable, and applying standards of use no lower than the standards applied by the Lessee or its Affiliates for other comparable properties owned or leased by the Lessee or its Affiliates. The Lessee shall pay, or cause to be paid, all charges and costs required in connection with the use of each Property as contemplated by this Master Lease and each Lease Supplement. The Lessee shall not commit or permit any waste of any Property or any part thereof.

Possession and Use of each Property. The Lessee covenants that prior to the Completion Date therefor, each Uncompleted Property shall be used in a manner consistent with the Construction Agency Agreement and, after the Completion Date, as a vineyard facility and applying standards of use no lower than the standards applied by the Lessee or its Affiliates for other comparable properties owned or leased by the Lessee or its Affiliates. Lessee shall pay, or cause to be paid, all charges and costs required in connection with the use of the Property as contemplated by this Master Lease, such Lessee's Lease Supplement and the Construction Agency Agreement; subject to reimbursement of such charges and costs pursuant to the Construction Agency Agreement. The Lessee shall not commit or permit any waste of the Property or any part thereof.
Possession and Use of each Property. (a) Lessee shall use (and cause any sublessee under any Permitted Sublease permitted pursuant to Section 6.1 hereof) to use the Properties, including related amenities, as assisted living facilities, skilled nursing facilities, sub acute facilities or facilities providing dementia care, senior care or adult day care, and for any other uses incidental thereto and for no other purposes. Lessee shall not use (and shall not permit any permitted sublessee to use) any Property or any part thereof for any purpose or in any manner that would materially adversely affect the fair market value, utility, remaining useful life or residual value of such Property. Lessee shall use each Properly in compliance with (i) any Applicable Law, except to the extent permitted by Section 12.1, (ii) any insurance policies required by Article 13, and (iii) all of the Operative Documents. Lessee shall pay, or cause to be paid, all charges and costs required in connection with the use of the Property in accordance with this Master Lease and the other Operative Documents.
Possession and Use of each Property. (a) At all times during the Term, each Property shall be a Permitted Facility and shall be used by Lessee in the ordinary course of its business provided, subleasing pursuant to Section 25.2 hereof shall be permitted. Lessee shall pay, or cause to be paid during the Term, all charges and costs required in connection with the use of each Property as contemplated by this Lease. Lessee shall not commit or permit any waste of any Property or any part thereof.

  • Maintenance and Use of Property Borrower shall cause the Property to be maintained in a good and safe condition and repair. The Improvements and the Personal Property shall not be removed, demolished or materially altered (except for normal replacement of the Personal Property or as permitted in the PETsMART Lease) without the consent of Lender. Except as provided in Section 3.8(f) hereof, Borrower shall promptly repair, replace or rebuild or cause to be repaired, replaced or rebuilt, any part of the Property which may be destroyed by any casualty, or become damaged, worn or dilapidated or which may be affected by any proceeding of the character referred to in Section 3.6 hereof and shall complete and pay for any structure at any time in the process of construction or repair on the Land. Borrower shall not initiate, join in, acquiesce in, or consent to any change in any private restrictive covenant, zoning law or other public or private restriction, limiting or defining the uses which may be made of the Property or any part thereof, provided, that Borrower shall be permitted to enter into easement agreements or grant rights of way so long as such agreements or grants do not reduce the value of the Property or impair its use, and so long as Borrower has delivered to Lender a title endorsement satisfactory to Lender with respect to such agreements and/or rights of way. If under applicable zoning provisions the use of all or any portion of the Property is or shall become a nonconforming use, Borrower will not cause or permit the nonconforming use to be discontinued or the nonconforming Improvement to be abandoned without the express written consent of Lender.

  • Title to Properties; Possession Under Leases (a) Such Borrower and each of its Subsidiaries have good and marketable title to, or valid leasehold interests in, all its material properties and assets, except for minor defects in title that do not materially interfere with its ability to conduct its business as currently conducted or to utilize such properties and assets for their intended purposes.

LESSEE ACKNOWLEDGES THAT THE LEASED PROPERTY HAS BEEN INSPECTED BY LESSEE AND IS SATISFACTORY TO IT. Provided, however, to the extent permitted by law, Lessor hereby assigns to Lessee all of Lessor’s rights to proceed against any predecessor in title (other than any Affiliate of Lessee, which conveyed the Property to Lessor) for breaches of warranties or representations or for latent defects in the Leased Property. Lessor shall fully cooperate with Lessee in the prosecution of any such claim, in Lessor’s or Lessee’s name, all at Lessee’s sole cost and expense. Lessee hereby agrees to indemnify, defend and hold harmless Lessor from and against any claims, obligations and liabilities against or incurred by Lessor in connection with such cooperation.
