Potential Invalidity. In the event of any inconsistency among the terms hereof (including incorporated terms) or between such terms and the terms of the Notes, the terms of this Agreement shall govern and prevail. The whole or partial invalidity, illegality or unenforceability of any provision hereof or the Notes at any time, whether pursuant to the terms of then applicable law or otherwise, shall not affect: (a) in the instance of partial invalidity, illegality or unenforceability, the validity, legality or enforceability of such provision at such time except to the extent of such partial invalidity, illegality or unenforceability; or (b) the validity, legality or enforceability of such provision at any other time or of any other provision hereof at that or any other time.
