Powers and Duties of Administrator. The Administrator shall have no discretion or authority with respect to the investment of assets in the Series of the Trust and shall act solely as an administrator of the funds of the Series pursuant to the terms of this Agreement. In addition to and not in limitation of such powers as the Administrator has under any other provisions of this Agreement, the Administrator shall have the following powers, each of which the Administrator exercises solely as a directed Administrator in accordance with the direction (in writing or in such other medium as may be acceptable to the Administrator) of the Member States:

Powers and Duties of Administrator. The primary responsibility of the Administrator is to administer the Plan for the exclusive benefit of the Accountholders, subject to the terms of the Plan. The Administrator will administer the Plan in accordance with its terms and will have the power and discretion to construe the terms of the Plan and to determine all questions arising in connection with the administration, interpretation, and application of the Plan. Any such determination by the Administrator will be conclusive and binding upon all persons.   • Powers and Duties of the Property Trustee (a) The legal title to the Debentures shall be owned by and held of record in the name of the Property Trustee for the benefit of the Trust and the Holders of the Securities. The right, title and interest of the Property Trustee to the Debentures shall vest automatically in each Person who may hereafter be appointed as Property Trustee in accordance with Section 6.6.
