Powers and Duties of the City Manager. A. The City Council hereby agrees to continue to employ said Employee as City Manager of the City of Xxxxxxxx to perform the functions and duties specified in the Rochelle Municipal Code Section 2-104 and 65 ILCS 5/5 et seq. and to perform other legally permissible and proper duties and functions as the City Council shall from time to time assign, subject to this Agreement. B. Neither the City Council nor any of its members shall direct or request the appointment of any person to, or removal from, office by the City Manager or any of his subordinates, or in any manner part in the appointment or removal of officers and employees in the service of the City, except where expressly provided for by the City Code or State Law. The City Council and its members shall deal with employees of the City solely through the City Manager and neither the City Council nor any member thereof shall give orders to any subordinate of the City Manager, either publicly or privately.

  • Powers and Duties Each Lender irrevocably authorizes each Agent to take such action on such Lender’s behalf and to exercise such powers, rights and remedies hereunder and under the other Credit Documents as are specifically delegated or granted to such Agent by the terms hereof and thereof, together with such powers, rights and remedies as are reasonably incidental thereto.
