Pre Closing Obligations of Purchaser. (a) Subject to the confidentiality restrictions set forth in Section 7.1 hereof, from the date hereof to the Closing and during normal business hours, Purchaser shall afford OVT, its counsel, accountants, and other representatives, free and full access to the offices, properties, books, Contracts, commitments, and Records of Purchaser, and shall furnish such persons with all information (including financial and operating data) concerning Purchaser as they reasonably may request. Requests for such information shall be coordinated with the designated representatives of Purchaser, and Purchaser shall use its best efforts to assist Seller, their counsel, accountants, and other representatives in their examination.
Pre Closing Obligations of Purchaser. During the Inspection Period (defined hereinbelow), Purchaser, at Purchaser's sole cost and expense, shall obtain and deliver to Seller copies of the following (collectively the "Purchaser Due Diligence Items"):
