Preferred Suppliers. During the term of this Agreement, ATMI will be the preferred supplier of Materials solutions related to the CDP Fields, and IM will be the preferred supplier of all HPC Technology solutions related to the CDP Fields, in each instance unless a customer of either party specifically requests a different partner. If a customer requests a different partner, the Operating Committee will determine an appropriate course of action, pursuant to Section 3.1, provided, however, that neither party shall be required to forego a business opportunity because the other party has not been included in the project, so long as the party not included participates in any revenue share or royalty arrangements agreed upon by the parties and set forth in the Alliance Plan.
Preferred Suppliers. Oxbow and Global Energy hereby designate one another as their preferred suppliers of certain goods and services, as follows: (i) Oxbow shall be the preferred petroleum coke supplier to petroleum coke gasification projects owned or controlled by Global Energy. (ii) Oxbow shall be a preferred supplier of coal, coal fines, gob or waste coal products (collectively, “Coal”) to gasification projects owned or controlled by Global Energy. Existing supply contacts can be extended annually at the discretion of IWS. Alternatively, tenders will be called from all current and potential Preferred Suppliers.
Preferred Suppliers. 7.1. The parties agree that the appointment of a Supplier as a Preferred Supplier shall be on a non-exclusive basis, and at the sole discretion of Places for People who may appoint other agencies as Preferred Suppliers or remove agencies from its Preferred Supplier’s list, subject to 30 days advanced written notice. 7.2. Places for People confirms that it operates a group policy (which it may change at its sole discretion) according to which, subject to clause 7.4 below, at Places for People’s sole discretion, it may refer any vacancy in the first instance to one Preferred Supplier of its choice. In the event of a Recruiter at Places for People deciding that it is in Places for People’s interests to appoint more than one agency for the same vacancy, additional Preferred Supplier(s) will be approached. If the Preferred Supplier(s) have failed to put forward a candidate acceptable to the Purchaser as per clause 7.3 below, the Purchaser shall be free to engage any non Preferred Supplier to provide the Services. 7.3. In the event that Preferred Suppliers are approached under clause 7.2 above and they cannot put forward suitable candidates for whatever reason, they shall immediately notify the Purchaser they are unable to do so. Failure by the Preferred Supplier to notify the Purchaser that it has suitable candidates within 7 days shall be deemed a notification of its non- ability. In either of the above cases the Purchaser will be entitled to engage another Supplier for the provision of those Services. 7.4. Notwithstanding clauses 7.2 and 7.3 the Purchaser may refer any vacancy to any non Preferred Suppliers without referring the vacancy first to a Preferred Supplier at Purchaser’s sole discretion . 7.5. Other than as described in clause 7.2 above, Places for People has no obligations and makes no representations with regard to the Preferred Suppliers list, including without limitation as to number of Preferred Suppliers on the Preferred Suppliers list at any one time, any minimum fees or minimum number of referrals to be given to Preferred Supplier or about guaranteed access to vacancies.
