Common use of Preparation of Plans and Construction Schedule and Procedures Clause in Contracts

Preparation of Plans and Construction Schedule and Procedures. (a) Simultaneously with, or prior to, the execution and delivery by Tenant of the Lease, Tenant shall provide Landlord in writing with sufficient information, regarding the Tenant Improvements which Tenant desires to be constructed in the Premises, to permit the Designer to prepare “Working Drawings.” Landlord shall submit to Tenant Working Drawings prepared by the Designer within twenty-one (21) days after the execution of the Lease. Among the Tenant Improvements will be building standard finishes including new direct in-direct lighting fixtures, new ceiling tiles, bathroom expansion and the creation of a new server room. (b) Tenant shall approve such Working Drawings within five (5) business days of receipt or designate by notice to Landlord the specific changes required to be made to the Working Drawings, which Landlord shall make as soon as reasonably possible. (c) Landlord shall obtain and submit to Tenant within five (5) business days after Tenant has approved the Working Drawings, “Engineering Drawings” showing complete Plans for telephone outlets, electrical, plumbing work, heating, ventilating and air conditioning. (d) Tenant shall approve such Engineering Drawings within five (5) business days of receipt or designate by notice to Landlord the specific changes required to be made to the Engineering Drawings, which Landlord shall make as soon as reasonably possible after receipt thereof. (e) Within three (3) business days after Tenant has approved the Engineering Drawings, Landlord shall submit to Tenant final plans and specifications (collectively, “Plans”), which shall be defined as, and shall consist of, complete architectural plans (inclusive of Working Drawings and Engineering Drawings) and specifications necessary to allow the Contractor (defined below) to build the Tenant Improvements in accordance with the final Plans. The term “Tenant Improvements” shall mean all improvements shown on the final Plans as finally approved by Tenant

(d) Tenant shall approve such Engineering Drawings engineering drawings within five three (53) business days of receipt or designate by notice to Landlord the specific changes required to be made to the Engineering Drawingsengineering drawings, which Landlord shall make as soon as reasonably possible after receipt thereofpossible. Tenant shall, within five two (52) business days Business Days after receipt of Architect’s revised Proposed Plans, advise Landlord in writing of any additional reasonable corrections which Tenant requests in order to conform the Proposed Plans to the Space Plans. If Tenant disapproves the revised Proposed Plans specifying the reason therefor, Landlord shall, to the extent such proposed corrections are reasonable, cause Architect to revise the Proposed Plans and resubmit them to Tenant. Tenant shall, again within two (2) Business Days after receipt of Architect’s revised Proposed Plans, advise Landlord in writing of further corrections, if any, required for Tenant’s approval. This process shall continue until Tenant has approved the Working Drawings, “Engineering Drawings” showing complete Plans for telephone outlets, electrical, plumbing work, heating, ventilating and air conditioning. (d) Tenant shall approve such Engineering Drawings within five (5) business days of receipt or designate by notice to Landlord the specific changes required to be made to the Engineering Drawings, which Landlord shall make as soon as reasonably possible after receipt thereof. (e) Within three (3) business days after Tenant has approved the Engineering Drawings, Landlord shall submit to Tenant final plans and specifications (collectively, “Plans”), which shall be defined as, and shall consist of, complete architectural plans (inclusive of Working Drawings and Engineering Drawings) and specifications necessary to allow the Contractor (defined below) to build the Tenant Improvements in accordance with the final revised Proposed Plans. The term Tenant ImprovementsFinal Plans” shall mean all improvements shown on the final Plans Proposed Plans, as finally revised, which have been approved by TenantLandlord and Tenant in writing. (e) If Landlord disapproves of or requests additional information regarding the Proposed Plans, Tenant shall within five (5) business days thereafter (or such longer period as may be reasonably required as a result of receipt the nature or designate extent of Landlord's comments, but in no event more than ten (10) days) revise the Proposed Plans disapproved by notice Landlord and resubmit such plans to Landlord the specific or otherwise provide such additional information to Landlord. Landlord shall, within ten (10) days after receipt of Tenant's revised plans, advise Tenant of any additional changes which may be required to be made to obtain Landlord's approval. If Landlord disapproves the Working Drawingsrevised plans specifying the reason therefor, which Landlord shall make as soon as reasonably possible. (c) Landlord shall obtain and submit to or requests further additional information, Tenant shall, within five (5) business days after Tenant (or such longer period as may be reasonably required as a result of the nature or extent of Landlord's comments, but in no event more than ten (10) days) of receipt of Landlord's required changes, revise such plans and resubmit them to Landlord or deliver to Landlord such further information as Landlord has approved the Working Drawingsrequested. Landlord shall, “Engineering Drawings” showing complete Plans for telephone outlets, electrical, plumbing work, heating, ventilating and air conditioning. (d) Tenant shall approve such Engineering Drawings again within five (5) business days after receipt of receipt or designate by notice to Tenant's revised plans, advise Tenant of further changes, if any, required for Landlord's approval. This process shall continue until Landlord the specific changes required to be made to the Engineering Drawingshas approved Tenant's revised Proposed Plans. "Final Plans" shall mean such Proposed Plans, as revised, which Landlord shall make as soon as reasonably possible after receipt thereof. (e) Within three (3) business days after Tenant has approved the Engineering Drawings, Landlord shall submit to Tenant final plans and specifications (collectively, “Plans”), which shall be defined as, and shall consist of, complete architectural plans (inclusive of Working Drawings and Engineering Drawings) and specifications necessary to allow the Contractor (defined below) to build the Tenant Improvements in accordance with the final Plans. The term “Tenant Improvements” shall mean all improvements shown on the final Plans as finally have been approved by TenantLandlord and Tenant in writing. Landlord agrees not to withhold its approval unreasonably. In no event shall Landlord withhold its consent to any Proposed Plans which are a logical derivation of space plans previously reviewed and approved by Landlord.

Landlord agrees that Tenant may construct portions of the Tenant Improvements on a design-build basis, subject to Landlord’s reasonable requirements, including without limitation submission of Working Drawings and Final Plans to Landlord for Landlord’s prior approval consistent with this Work Agreement.
