Preparation and Approval of Space Plan. Tenant shall submit to the Designer all additional information including occupancy requirements for the Premises ("Information") necessary to enable the Designer to prepare a space plan showing all demising walls, corridors, entrances, exits, doors, interior partitions, and the locations of all offices, conference rooms, computer rooms, the reception area, file room and other support areas (the "Space Plan") and the Working Drawings. The Designer shall incorporate into the Working Drawings those items described in Exhibit "B" to the Lease which Tenant is required to utilize in the construction of Tenant's Work. Tenant shall cause the Designer to submit to Landlord the Space Plan for Landlord's review and approval. Landlord's approval of such Space Plan shall not be unreasonably withheld or delayed by Landlord, and shall be deemed given unless Landlord shall disapprove the same by written notice to Tenant within five (5) business days after Landlord's receipt of the same. Landlord's disapproval shall be based only upon reasonable and material reasons (which are defined to be (i) adverse effect on the structural integrity of the Building; (ii) possible damage to the Building Systems; (iii) non-compliance with applicable codes and other Laws; (iv) adverse effect on the exterior appearance of the Building; or (v) incompatibility with the Project including its design standards and standard materials (each, a "Design Problem")) and upon disapproval Landlord shall return the revised Space Plan to Tenant. In such event, Landlord shall require, and Tenant shall make, the changes necessary in order to correct the Design Problems and shall return the revised Space Plan to Landlord, which Landlord shall approve or disapprove within five (5) business days after Landlord receives the revised Space Plan. This procedure shall be repeated until the Space Plan is finally approved by Landlord and written approval has been delivered to and received by Tenant. The Space Plan as finally approved pursuant to this Paragraph 3(c) is herein referred to as the "Approved Space Plan."

In such event, the Architect shall make the minimum changes necessary in order to correct any design problems identified by the Landlord and shall submit to Landlord and Tenant revised Space Plans, which Landlord and Tenant shall approve or disapprove within two (2) business days after receipt of the revised Space Plans. This procedure shall be repeated until the Space Plans are finally approved by Landlord and Tenant.

This procedure shall be repeated until the Space Plan is finally approved by Landlord and written approval has been delivered to and received by Tenant. The Space Plan may be submitted to Tenant in one or more stages and at one or more times, and the time periods for Landlord’s approval shall apply with respect to each such portion submitted.

Once completed the Space Plan shall be attached hereto as Schedule 1. Lessor shall cause the Designer to submit to Lessee and Lessor the Space Plan with sufficient time to ensure that Lessor can complete its review and Lessee and Lessor can finally approve the Space Plan no later than April 1, 2001.

Within five (5) business days after Landlord receives the Space Plan, Landlord shall by notice to Tenant either approve the Space Plan or disapprove it for reasonable and material reasons (which shall be limited to the following: (i) affect on the structural integrity of the Building, (ii) possible damage to the Building Systems, (iii) non-compliance with applicable codes or insurance requirements, (iv) adverse affect on the exterior appearance of the Building or (v) use of materials or fixtures of a lesser quality than the Building Standards (as hereinafter defined in Section 13.4) (each, a “Design Problem”)). Within [*________ (__)*] business days after receipt of notice of Landlord’s disapproval, Tenant shall make any changes necessary to correct any Design Problem and shall return the revised Space Plan to Landlord, who shall approve or disapprove it within two (2) business days after Landlord receives it. This procedure shall be repeated until Landlord’s final written approval of the Space Plan has been delivered to Tenant.

In such event, Tenant shall cause the Architect to make the necessary changes necessary in order to address Landlord’s reasonable comments and shall return the Space Plan to Landlord, which Landlord shall approve or disapprove within three (3) business days after Xxxxxxxx receives the revised Space Plan. This procedure shall be repeated until the Space Plan is approved by Landlord and written approval has been delivered to and received by Xxxxxx. The complete Space Plan shall be submitted by Tenant to Landlord in one package and at one time, and the time periods for Landlord’s approval shall apply with respect to each resubmittal until finally approved Landlord.
