Press Release and Public Announcements. No Party shall issue any press release or public announcement relating to the subject matter of this Agreement prior to Closing without the prior written approval of the other Party; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law (in which case the disclosing Party will use its reasonable best efforts to advise the other Party prior to making the disclosure).
Press Release and Public Announcements. The parties shall cooperate in preparing and promptly issuing a press release announcing the execution of this Agreement. Thereafter, so long as this Agreement is in effect, (i) the Company shall not, and shall cause its affiliates (other than Purchaser and its affiliates) not to, issue or cause the publication of any press release or any other announcement, or submit any public filings, with respect to the Company Stockholders Meeting or the transactions contemplated by this Agreement without the consent of Purchaser (which approval shall not be unreasonably withheld or delayed), except when such release, announcement or filing is required by the rules and regulations of the Commission, other applicable Law or the rules or regulations of the AMEX, in which case the Company, prior to making such announcement, issuing or publishing such press release or making any public filing, shall notify and afford Purchaser the opportunity to comment thereon. The Purchaser may issue or cause the publication of any press release or any other announcement, and may submit any public filing, required by the rules and regulations of the Commission or other applicable Law.
Press Release and Public Announcements. Either Party may issue a press release or make a public announcement relating to the subject matter of this Agreement with the prior written approval of the other Party, such approval not to be unreasonably withheld, except as may be prohibited under Federal or state law. Each Party, or any of its Affiliates, may make any public disclosure they believe in good faith is required by applicable law or any listing or trading agreement concerning their publicly-traded securities (in which case such Party will use its reasonable best efforts to advise the other Party prior to the disclosure).
Press Release and Public Announcements. 21.1 Prior intimation must be given by the COMPANY to ICMR before making any press releases, public announcements, or media statement with respect to the PRODUCT(S) that has been given grant-in-assistance by ICMR as per this AGREEMENT.
21.2 ICMR reserves the rights to make any modifications for incorporation by the COMPANY in the Proposed Publication/Press Release, if so required.

Press Release and Public Announcements. 21.1 Any press release or other public announcement of this agreement or the settlement of the litigation shall be sent to the other party for review at least two (2) business days prior to the proposed release or announcement date by the party desiring to make the same. No press release or other announcement unacceptable to either party shall be made. Apart from any such agreed upon release or announcement, both parties shall keep confidential the existence of their agreement and its terms except to the extent that is required by law or regulation, in which event the parties shall consult on the same basis as for a press release or public announcement, to permit the non- disclosing party to obtain a protective order or other process to limit such required disclosure. QUIDEL may inform its customers, agents, distributors or AFFILIATES of this Agreement, subject to such customers, agents, distributors, or AFFILIATES keeping such information confidential on the same terms as apply to QUIDEL hereunder.

Except as otherwise required by Law, Seller and Equityholders will not, and will not permit any of their respective Affiliates, representatives or advisors to, issue or cause the publication of any press release or make any other public announcement, including any tombstone advertisements or any announcements to employees, customers or suppliers of Seller or the Business with respect to the transactions contemplated by this Agreement and the Related Agreements without the prior written consent of Buyer. Notwithstanding anything in this Agreement to the contrary, following the Closing, Buyer, Parent or any of their respective Affiliates, representatives or advisors may issue or cause the publication of any press release or make any other public announcement, including any tombstone advertisements, with respect to the transactions contemplated by this Agreement and the Related Agreements without the prior written consent of Seller or Equityholders.

The parties hereto shall consult with each other and shall mutually agree (the agreement of each party not to be unreasonably withheld or delayed) upon the content and timing of any press release or other public statements with respect to the transactions contemplated by this Agreement and shall not issue any such press release or other public statement prior to such consultation and agreement, except as may be required by applicable law or by obligations pursuant to any listing agreement with any securities exchange or any stock exchange regulations as advised by legal counsel to such party; provided, however, that to the extent practicable, each party shall give prior notice to the other party of the content and timing of any such press release or other public statement prior to its issuance.

Press Release and Public Announcements. The Parties shall consult each other and cooperate in the preparation of a press release to be issued. No other announcement concerning this sale and purchase or this Agreement shall be made by any of the Parties except as required by any applicable law (including any United States securities laws) or any competent regulatory authority (including the US United States Securities and Exchange Commission), or with the written approval of the other Party (such approval not to be unreasonably withheld or delayed).
