Product Design; Warranties. Schedule 5.21 includes a copy of the current standard warranty of the Company and the Company's current warranty policy with respect to products created, manufactured, sold, distributed or licensed by the Company, other than any such implied by law. To the knowledge of the Company, there are no material, manufacturing or other defects, latent or otherwise, with respect to any such products. Except as described on Schedule 5.21, no products have been sold or distributed by the Company under an understanding or agreement by the Company that such products are returnable except pursuant to such warranties.

Product Design; Warranties. Except as described in Section 2.15 -------------------------- of the CSI Disclosure Statement, (i) there are no warranties (express or implied) outstanding with respect to any products created, manufactured, sold, distributed or licensed, or any services rendered, by any of the Companies other than any such implied by law pursuant to Sections 2-312 and 2-314 of the Uniform Commercial Code and (ii) to the knowledge of the Acquired Companies, there are no design, manufacturing or other defects, latent or otherwise, with respect to any such products. A copy of each standard warranty of each Acquired Company is included in Section 2.15 of the CSI Disclosure Statement. Except as described in Section 2.15 of the CSI Disclosure Statement, no Acquired Company has modified or expanded its warranty obligation to any customer beyond that set forth in such standard warranties. Except as described in Section 2.15 of the CSI Xxxxxxxxxx Xxxxxxxxx, no products have been sold or distributed by any Acquired Company under an understanding that such products would be returnable.

(a) Seller has not made any express warranties or guaranties or other similar undertaking to third parties with respect to any products created, manufactured, sold, distributed, or licensed, or any services rendered, by the Business; (b) each outstanding warranty specifically excludes consequential damages and damages for personal injury, and there are no claims pending or threatened in which consequential damages or damages for personal injury have been or are threatened to be claimed against the Business; (c) there is no warranty (express or implied) outstanding with respect to any such products or services other than any such implied by law pursuant to Sections 2-312 and 2-314 of the Uniform Commercial Code; (d) Seller has no Knowledge of any design, manufacturing, or other defects, latent or otherwise, with respect to any such products; (e) there is no recall (voluntary or otherwise) of any of Seller’s products related to the Business pending or any other action under consideration by Seller or, to the Knowledge of Seller, any Governmental Body that might result in such a recall of all or a part of any of Seller’s products related to the Business; and (f) Seller has not modified or expanded its warranty obligation to any customer of the Business beyond that set forth in Seller’s standard warranties or extended any warranty or guaranty other than in writing, or rendered services or made payments not required by a warranty as a matter of policy or customer relations.

Schedule 2.26 includes a copy of the current standard warranty of the Company and its Subsidiaries and the current warranty policy with respect to products (or any part or component) designed, manufactured, transported, marketed, serviced or sold, or services performed by the Company or any of its Subsidiaries, other than any such implied by law. Except as described on Schedule 2.26, to the Debtors’ knowledge, no products (or any part or component) have been designed, manufactured, transported, marketed, serviced or sold, or services performed by the Company under an understanding or agreement by the Company that such products are returnable (or services refundable) except pursuant to such warranties. To the knowledge of any of the Debtors, there are no material, manufacturing or other defects, latent or otherwise, with respect to any such products.

(a) Except as described in Schedule 5.22 hereof: (i) the Company has not agreed to become or otherwise is responsible for consequential damages or made any express warranties to third parties with respect to any products created, manufactured, sold, distributed, installed or licensed, or any services rendered by the Company; (ii) there are no warranties (express or implied) outstanding with respect to any such products or services other than any such implied by law pursuant to MCLA ss.440.2312 and ss.440.2314 of the Uniform Commercial Code; and (iii) there are no design, manufacturing or other defects, latent or otherwise, with respect to any such product. A copy of each standard warranty of the Company was previously delivered to the Buyer. The Company has not modified or expanded its warranty obligation to any customer beyond that set forth in such standard warranties.

(a) Except as disclosed in the Seller Disclosure Schedule, with respect to the Business, (i) Seller has not agreed to become, and is not otherwise responsible for, consequential damages, and (ii) there are no warranties (express or implied) outstanding with respect to any products ("Products") currently or formerly created, manufactured, sold, distributed or licensed, or any services rendered, by Seller.
(b) There are no pending actions, suits, proceedings, hearings, investigations, charges, complaints, claims or demands against Seller with respect to the Business arising out of any injury to individuals or property as a result of the ownership, possession, or use of any Product manufactured, sold, leased, or delivered by Seller and, to the Company's knowledge, there is no basis for any present or future actions, suits, proceedings, hearings, investigations, charges, complaints, claims or demands giving rise to any liability.

Product Design; Warranties. (a) A copy of each standard warranty of CNS is included in the Disclosure Statement. Except as set forth in such standard warranties or as otherwise described in the Disclosure Statement: (a) CNS has not agreed to be responsible for consequential damages or made any express warranties to third parties with respect to any products created, manufactured, sold or distributed by CNS, or any services rendered by CNS; (b) there are no warranties (express or implied) outstanding with respect to any such products or services other than any such implied by law pursuant to Sections 2-312 and 2-314 of the Uniform Commercial Code; (c) such products are not subject to any guaranty, indemnity or right of return; and (d) there are no design, manufacturing or other defects, latent or otherwise, with respect to any such products known to CNS.
(b) A complete list of all complaints received by CNS during the last three years with respect to products manufactured by CNS is attached to the Disclosure Statement. All such complaints were resolved consistently with CNS' quality systems and applicable governmental regulations.
Product Design; Warranties. 20 of the Disclosure Statement includes a copy of the current standard warranty of BATCO and BATCO's current warranty policy with respect to products created, manufactured, sold, distributed or licensed by BATCO, other than any such implied by law. To the knowledge of the Seller, there are no material design, manufacturing or other defects, latent or otherwise, with respect to any such products. Except as described in Section 5.20 of the Disclosure Statement, no products have been sold or distributed by BATCO under an understanding or agreement by BATCO that such products are returnable except pursuant to such warranties.
