Knowledge of the Acquired Companies definition

Knowledge of the Acquired Companies means the actual knowledge of Xxxxx Xxxxxx, Xxxxxxx Xxxx, Xxx Xxxxxx, Xxxxx Xxxx, Xxxxx Xxxx and/or Xxxxxxxx Xxxxxx after (i) having made a reasonable effort to ascertain the fact in question by means of an inquiry directed to such managers, directors, officers, employees and advisors to any of the Acquired Companies or any of their Subsidiaries as would be reasonably likely to have information relating to the fact in question, and (ii) conducting a reasonable investigation of any relevant information received by Xxxxx Xxxxxx, Xxxxxxx Xxxx, Xxx Xxxxxx, Xxxxx Xxxx, Xxxxx Xxxx and/or Xxxxxxxx Xxxxxx from such inquiry if, but only if and to the extent that, it is reasonably prudent to conduct such investigation in light of any such relevant information.
Knowledge of the Acquired Companies means Knowledge of the following individuals about the affairs of the Company: Hendxxx X. Xxxxxxx, Xxvix X. Xxxxxxx, Xxrrx Xxxx, Xxrrxxx X. Xxxxxxx, xxd Jamex X. Xxxxxx.
Knowledge of the Acquired Companies or similar phrases shall mean the actual knowledge of Xxxxxx X. Xxxxx, Xxxxxx Xxxxxxxxxx, Xxx Xxxxxxx, Xxxxx Xxxxxxx, Xxx Xxxxx, Xxxx Milan, Xx Xxxxxxxx and Xxxxx Poppowitz and knowledge of any facts that would have come to the attention of any of these individuals through reasonable investigation.
