Product Resale. As an employee of Company, Employee may receive Company products and materials either at no charge or at a discount as specified from time to time by Company in its sole discretion. Employee agrees that the products received from Company are strictly limited to Employee's personal use and that of Employee's family and may not be resold, given or disposed of to any other person or entity, or otherwise disposed of in a manner inconsistent with the personal use herein described.
Product Resale. DISTRIBUTOR shall resell the Products only to Resellers -------------- for resale to end users and, directly, to End-Users for the Products.
Product Resale. Customer desires to obtain security hardware and software products from LTT for valuable consideration as agreed upon and defined in Exhibit A (the “Products”), the first of which A-1 is attached as of the Effective Date, and LTT is an authorized reseller of the Products;
Product Resale. Customer desires to obtain hardware and software products from LTT for valuable consideration as agreed upon and defined in a purchase order (the “Products”), and LTT is an authorized reseller of the Products;
Product Resale. If Seller provides Buyer with any materials, equipment, or fixtures to assist in any way with the resale of any Products purchased from Seller, then unless otherwise agreed in writing, Buyer will be considered the sole owner of such materials, equipment or fixtures, without charge, free and clear of any interest, of Seller. This provision will apply regardless of whether the materials, equipment, or fixtures are shown on a Purchase Order. Seller must pay for all samples and freight for samples that are part of the usual means of doing business. This includes samples for planogram, specification approval, production samples, ad samples and any other samples that need to be modified or corrected. Notwithstanding anything to the contrary, Seller acknowledges that Buyer is not required to spend any amount on promoting or marketing or otherwise showcasing the Products supplied by Seller.
Product Resale. LBOs are not permitted to sell products to non-LBOs for resale.
Product Resale. Subject to the terms and conditions of this Agreement and CleanSpark's then-current policies and requirements, CleanSpark, agrees to exclusively inside the borders of Costa Rica permit Partner to resell the Products to prospective Customers through use of the partner site made available to Partner by CleanSpark or through a CleanSpark Authorized Sales Representatives. In the event that Partner is to be invoiced directly for all or a portion of its Customer's use of the Products in accordance with CleanSpark policies and procedures, Partner shall be solely responsible for all payments due to CleanSpark in connection with such use, whether or not each Customer pays Partner for such use.
Product Resale. RESELLER shall resell the Products only to End-Users.
Product Resale. 4.1 All Products are sold or licensed exclusively pursuant to the End User Terms governing the use of, and warranty applicable to, such Products.
4.2 Customer accepts that when it places orders to Supplier for the purchase/license of Products, such purchase/license and use of the Products will be governed by the applicable End User Terms, which implies the existence of a direct contractual rela- tionship between Customer and the relevant Product Vendor.
4.3 Customer acknowledges and agrees that Supplier is entitled to accept End User Terms on Customer’s behalf for any Product installed by Supplier as part of the Services.
4.4 Unless otherwise expressly agreed, all Product licenses will be subscription licenses for a term of 12 months at a time, and will renew automatically unless Customer notifies Supplier in writ- ing well in advance that a Product license shall not be ex- tended.
4.5 Customer shall indemnify Supplier against all liabilities, costs, expenses, damages and losses, suffered or incurred by Supplier due to Customer’s breach of any End User Terms or other ap- plicable terms and conditions of a Product Vendor.
4.6 Unless otherwise agreed, Supplier shall deliver:
a) Hardware DAP (Incoterms® 2020) to the location specified in the Agreement or otherwise agreed between the Par- ties, and
b) Software Products electronically through the provision of a download link or otherwise as appropriate under the cir- cumstances.
4.7 Customer shall promptly upon delivery inspect the Hardware for visible damage and visible deficiencies and report any such damage or deficiencies to Supplier without undue delay. Cus- tomer shall also promptly inform the freight carrier at the time of delivery of any damaged packaging/wrapping and follow such freight carrier’s instructions how to handle the complaint.
4.8 Unless otherwise agreed, risk of loss passes to Customer upon delivery in accordance with clause 4.
