Product Warranties; Defects; Liabilities. The Company and the Subsidiaries do not have standard terms and conditions of sale, license, or lease for each of the Company Products. No Company Product is subject to any guaranty, warranty, or other indemnity beyond that set forth under contracts with customers entered into in the ordinary course of business consistent with past practice (generally one (1) year) or implied or imposed by applicable Law (generally six (6) to ten (10) years).

The Company has no liability or obligation for replacement or repair thereof or other damages in connection therewith except liabilities or obligations pursuant to Licenses Out or otherwise incurred in the ordinary course of business consistent with past practice. To the knowledge of the Company, no Product is subject to any guaranty, warranty, or other indemnity beyond the applicable terms and conditions of sale, license or lease.

No Company Product is subject to any guaranty, warranty or other indemnity except as provided in the applicable standard terms and conditions of sale, license or lease or such guaranty, warranty or other indemnity that is implied or imposed by applicable law.
