Professionals, Consultants Etc. Subject to the approval of the Board of Directors and the Bankruptcy Court, making such arrangements with and employing, at the expense and for the benefit of TransTexas, such accountants, attorneys, banks, transfer agents, custodians, underwriters, insurance companies and other persons as may from time to time be reasonably necessary for the conduct of TransTexas's business; excluding the selection and employment of TransTexas's independent auditors, bankruptcy counsel, counsel to TransTexas's Board of Directors and other professionals related thereto, which authority shall be specifically retained by TransTexas; and

  • Non-Solicitation of Employees and Consultants During the Period of Employment and for a period of twenty-four (24) months after the Severance Date, the Executive will not directly or indirectly through any other Person (i) induce or attempt to induce any employee or independent contractor of the Company or any Affiliate of the Company to leave the employ or service, as applicable, of the Company or such Affiliate, or in any way interfere with the relationship between the Company or any such Affiliate, on the one hand, and any employee or independent contractor thereof, on the other hand, or (ii) hire any person who was an employee of the Company or any Affiliate of the Company until twelve (12) months after such individual’s employment relationship with the Company or such Affiliate has been terminated.

  • Independent Consultant This Agreement shall not render the Consultant an employee, partner, agent of, or joint venturer with the Company for any purpose. The Consultant is and will remain an independent Consultant in his relationship to the Company. The Company shall not be responsible for withholding taxes with respect to the Consultant’s compensation hereunder. The Consultant shall have no claim against the Company hereunder or otherwise for vacation pay, sick leave, retirement benefits, social security, worker’s compensation, health or disability benefits, unemployment insurance benefits, or employee benefits of any kind.
