Engagement as Consultant. Purchaser hereby agrees to ------------------------ engage the Consultant, and the Consultant hereby agrees to perform services for Purchaser, on the terms and conditions set forth herein.

Engagement as Consultant. The Company agrees to engage Consultant to provide, and Consultant agrees to provide, consulting services on the terms and conditions set forth herein.

Engagement as Consultant. The Company engages the Consultant to render consulting services to the Company for the period (the "Consulting Period") beginning on the date of his or her termination of employment with the Company (the "Effective Date") and ending on the day preceding the first anniversary of the Effective Date; provided, however, that this Agreement shall be of no force and effect if the date of the Consultant's termination of employment is after April 30, 1999.

Engagement as Consultant. 1.1 The Company, meant throughout this Agreement to mean the Company's governing body or Board of Directors, hereby engages the CONSULTANT to undertake the duties and title of International Government Affairs, and the CONSULTANT agrees to exercise those powers on a best efforts basis on behalf of the Company, (collectively the “Services”) and the CONSULTANT accepts such engagement on the terms and conditions set forth in this Agreement.

Engagement as Consultant. Commencing on the Effective Date, the Bank agrees to retain the Consultant as an independent consultant, and the Consultant agrees to render consulting services to the Bank, for a period of three (3) years (the “Initial Consulting Period”), unless such consulting arrangement is terminated earlier pursuant to Sections 2(C) or 2(E) hereof. Subject to Section 2(E), upon the expiration date of the Initial Consulting Period and upon each anniversary of such date thereafter, the Consulting Period shall be extended for an additional year unless either party gives written notice sixty (60) days prior to such date of an intention not to extend the Consulting Period. The “Initial Consulting Period” and any extension thereof are referred to herein as the “Consulting Period”. A. The Bank hereby engages the Consultant to provide during the Consulting Period services of a consulting or advisory nature as set forth in Appendix A attached hereto. The Consultant shall act solely in a consulting capacity hereunder and shall not have authority to act for the Bank or to give instructions or orders on behalf of the Bank or otherwise to make commitments for or on behalf of the Bank. The Consultant shall not be an employee of the Bank during the Consulting Period, but shall act in the capacity of an independent contractor and the Bank will provide the Consultant with a Form 1099 for compensation related to the consulting services. The Bank shall not exercise control over the detail, manner or methods of the performance of the services by the Consultant during the Consulting Period or have control over the location at which the Consultant performs services. B. As full and complete compensation for any and all services which the Consultant may render during the Consulting Period: i. The Bank shall pay the Consultant a consulting fee at the rate of $67,000 per month ($804,000 annually), payable in arrears on the last business day of each month (the “Consulting Fees”). ii. As additional consideration for his consulting services, the Consultant’s service as a Consultant shall be treated as service for purposes of vesting in the unvested restricted stock awards outstanding at the time of his termination of employment under the same vesting schedule and subject to the same terms set forth in the applicable award agreements and the Company’s 2012 Stock Incentive Plan (the “2012 Plan”). Engagement as Consultant. Following the Retirement Date, the Company agrees to retain the Executive commencing on the day following his retirement, as an independent consultant, and the Executive agrees to render consulting services for a period mutually determined by the Company and the Executive, unless such consulting arrangement is terminated earlier pursuant to Section 3(E) hereof (the “Consulting Term”).

Engagement as Consultant. The Company agrees to retain Consultant to act as an independent consultant to provide the Company with services as a strategic adviser and consultant to the Company, including, but not limited to, matters with respect to business development, brand development and guidance, strategic planning and presentations in support of Tandon’s business (collectively, the “Services”), and Consultant agrees to provide such Services.

Engagement as Consultant. The Company hereby engages Consultant, and Consultant hereby accepts such engagement, to serve as a consultant and advisor to the Chief Executive Officer and other employees, officers and directors of the Company and its affiliates as provided herein may determine for the period and on the terms and conditions set forth herein. Consultant affirms and acknowledges that he shall undertake no employment which will prohibit or interfere with his performance of services contemplated by this Agreement.

Engagement as Consultant. (a) EVOLVING SYSTEMS retains Consultant to provide consulting services as described in Attachment A (the “Authorization”), and Consultant agrees to perform such services, subject to the terms and conditions of this Agreement. EVOLVING SYSTEMS agrees to give Consultant as much advance notice as is reasonably feasible of meetings, and to work with Consultant to schedule other consultations at convenient times.

Engagement as Consultant. Commencing on the Effective Time, Consultant is hereby engaged as an outside consultant to the Company, and, as requested by the Company, subject to the terms and conditions of this Agreement, Consultant shall provide advice and information to the Company regarding general operations, management and transitions issued following the consummation of the Merger (the "Services") throughout the Term (as defined below). Consultant shall provide the Services when and as reasonably requested by the Company, up to a maximum of 14 hours per month. Consultant shall not be obligated to travel outside of Salt Lake City, Utah in order to perform the Services and shall receive reasonable prior notice of each time Consultant is being asked to perform Services.
