Program Administration and Oversight. The final regulations give institutions flexibility in administering their Program. The board of directors or an appropriate committee must approve the initial written Program. For subsequent updates to the Program, the board, a committee, or a designated senior management employee must approve. Exhibit G Identity Theft Prevention Policy and Program The designated person or persons charged with Program oversight must review staff compliance at least once a year, and approve subsequent material Program changes. This oversight must involve the board, committee of the board, or designated senior management. The designated person or persons must also make sure that relevant staff are properly trained, as necessary, to effectively implement the program. Staff already trained for other anti-fraud prevention efforts may have sufficient training to effectively carry out the Red Flag Program. Prosper must also oversee its service-provider arrangements and take steps to ensure a service provider’s activities are conducted in accordance with the regulation. Prosper can meet this oversight obligation by executing a contractual agreement with the service provider that it has policies in place that comply with the Red Flag Regulations.
