Property Questionnaires. Buyer shall have received Property Questionnaires for the Property, completed to the reasonable satisfaction of Buyer, and no such Property Questionnaire shall indicate any fact or circumstance that Buyer reasonably believes (based on advice of counsel) would be likely to result in Buyer losing its status as a real estate investment trust, as defined in Section 856 of the Internal Revenue Code (as amended), if the transactions contemplated hereby are consummated.
Property Questionnaires. On or before the Document Delivery Date, (a) Transferor shall (to the extent not already completed within the last twelve (12) months) cause its property manager to complete a property questionnaire for each Project in the form of Exhibit “B” attached hereto (collectively, together with those completed within the last twelve months, the “Property Questionnaires”), (b) Transferor shall review each completed Property Questionnaire, whether completed now or within the last twelve (12) months (and to the extent that any information contained in any completed Property Questionnaire is inaccurate or incomplete to Transferor’s knowledge, correct such Property Questionnaire), and (c) Transferor shall deliver such completed (and, if necessary, corrected) Property Questionnaires to Transferee. Transferee hereby acknowledges that Transferor’s covenant to review, correct and deliver the Property Questionnaires in the preceding sentence is not a representation or warranty by Transferor as to the truthfulness, accurateness or completeness of any such Property Questionnaire; provided, however, that notwithstanding the foregoing, Transferor does hereby represent and warrant to Transferee that Transferor has not (nor, to Transferor’s knowledge, has any other party) intentionally made any misrepresentations as to any portion of any Property Questionnaire.
Property Questionnaires. Transferor shall have delivered the Property Questionnaires to Transferee in accordance with the terms of Section 4.1.2 hereof.
Property Questionnaires. Not later than the date which is ten (10) days after the Execution Date, Seller shall deliver to Buyer property questionnaires in the form attached hereto as Exhibit "D" (the "Property Questionnaires")completed to the reasonable satisfaction of Buyer.

With respect to each Existing Property, prior to the Execution Date, each Existing Property Owner has delivered to Transferee, and, with respect to each Development Property, each Development Property Owner shall deliver along with its Completion Notice to Transferee, a completed property questionnaire for the Property owned or leased by such Transferor in the form of Exhibit “F” attached hereto (collectively, the “Property Questionnaires”); provided, however, that no representations or warranties shall be deemed made by PMB LLC and/or the applicable Transferor in or by virtue of such Property Questionnaires (except PMB LLC and the applicable Transferor each represent and warrant to NHP and the Operating Partnership that, to its knowledge (as defined in Section 16.20 hereof), neither such Transferor nor, to its knowledge (as defined in Section 16.20 hereof), any other person completing such Property Questionnaire on behalf of such Transferor has intentionally made any misrepresentations as to any portion of such Property Questionnaire).
Property Questionnaires. The Contribution Agreement is hereby amended by deleting “prior to the Execution Date, each Existing Property Owner has delivered” from the second line of Section 4.1.2 thereof and inserting “on or before March 12, 2008, each Existing Property Owner shall deliver” in lieu thereof.
