Protection of Student Information. All student information will be collected and protected pursuant to the terms of the DBQ Privacy Policy. With respect to any data that could be considered “education records” as defined under the Family Educational Rights and Privacy Act (FERPA) and “school student records” as defined under the Illinois School Student Records Act (ISSRA), DBQ acknowledges that for the purposes of this Agreement it will be designated as a “school official” with “legitimate educational interests” in the education records, as those terms have been defined under FERPA and its implementing regulations, and DBQ agrees to abide by the FERPA and ISSRA limitations and requirements imposed on school officials. All student information is and will remain the property of Subscriber and under Subscriber’s control. DBQ will use the education records only for the purpose of fulfilling its duties under the Agreement for the Subscriber’s and its Authorized Users’ benefits, and will not share such data with or disclose it to any third party except as provided for in this Agreement, required by law, or authorized in writing by the Subscriber. DBQ will not use the any information submitted by an Authorized User for advertising or marketing purposes unless such use is specifically authorized by this agreement or otherwise authorized in writing by the Subscriber. Implementation of Developing Security Protocols. Subscriber shall cooperate with DBQ in the implementation of security and control protocols and procedures as they are developed during the term of this Agreement. DBQ Performance Obligations Availability of Licensed Materials. Upon the Effective Date of this Agreement, DBQ shall make the DBQ Materials available to Subscriber and Authorized Users.

Protection of Student Information. AP expressly agrees to abide by the limitations on re-disclosure of personally identifiable information from education records set forth in The Family Educational Rights and Privacy Act ("FERPA") (20 USC Section 1232; 34 CFR Part 99), Section 1002. I 2, Florida Statutes, and other applicable federal, state and local laws, rules and regulations and with the terms set forth below. FERPA provides that the officers, employees and agents of a party that receives education record information from University may use the information, but only for the purposes for which the disclosure was made. Covered data and information ("COl") includes, but is not limited to, paper and electronic student education record information supplied by University, as well as any data provided by University's students to AP. AP acknowledges that the Agreement may allow AP access to COI If AP accesses COl, AP agrees to hold COl in strict confidence. AP shall not use or disclose CDI received from or on behalf of University (or its students) except as permitted or required by the Agreement, as required by law, or as otherwise authorized in writing by University.

  • Student Information Those living in The Village hereby agree that the Owner shall receive all Student information provided in the Agreement and waives and releases Owner from any duty of confidentiality that may apply to such information.

  • Access to Information Systems Access, if any, to DXC’s Information Systems is granted solely to perform the Services under this Order, and is limited to those specific DXC Information Systems, time periods and personnel as are separately agreed to by DXC and Supplier from time to time. DXC may require Supplier’s employees, subcontractors or agents to sign individual agreements prior to access to DXC’s Information Systems. Use of DXC Information Systems during other time periods or by individuals not authorized by DXC is expressly prohibited. Access is subject to DXC business control and information protection policies, standards and guidelines as may be modified from time to time. Use of any other DXC Information Systems is expressly prohibited. This prohibition applies even when an DXC Information System that Supplier is authorized to access, serves as a gateway to other Information Systems outside Supplier’s scope of authorization. Supplier agrees to access Information Systems only from specific locations approved for access by DXC. For access outside of DXC premises, DXC will designate the specific network connections to be used to access Information Systems.

  • Access to Information Such Purchaser acknowledges that it has had the opportunity to review the Transaction Documents (including all exhibits and schedules thereto) and the SEC Reports and has been afforded, (i) the opportunity to ask such questions as it has deemed necessary of, and to receive answers from, representatives of the Company concerning the terms and conditions of the offering of the Securities and the merits and risks of investing in the Securities; (ii) access to information about the Company and its financial condition, results of operations, business, properties, management and prospects sufficient to enable it to evaluate its investment; and (iii) the opportunity to obtain such additional information that the Company possesses or can acquire without unreasonable effort or expense that is necessary to make an informed investment decision with respect to the investment. Such Purchaser acknowledges and agrees that neither the Placement Agent nor any Affiliate of the Placement Agent has provided such Purchaser with any information or advice with respect to the Securities nor is such information or advice necessary or desired. Neither the Placement Agent nor any Affiliate has made or makes any representation as to the Company or the quality of the Securities and the Placement Agent and any Affiliate may have acquired non-public information with respect to the Company which such Purchaser agrees need not be provided to it. In connection with the issuance of the Securities to such Purchaser, neither the Placement Agent nor any of its Affiliates has acted as a financial advisor or fiduciary to such Purchaser.

  • Patient Information Each Party agrees to abide by all laws, rules, regulations, and orders of all applicable supranational, national, federal, state, provincial, and local governmental entities concerning the confidentiality or protection of patient identifiable information and/or patients’ protected health information, as defined by any other applicable legislation in the course of their performance under this Agreement.

  • OTHER PERTINENT INFORMATION 1. Applicant owns the upland adjoining the lease premises.

  • RESIDENT INFORMATION RESIDENT covenants that all application information is given voluntarily and knowingly by RESIDENT, and if such information proves to be false or misleading, MANAGEMENT may terminate this LEASE in accordance with applicable Virginia law; in which event, RESIDENT shall immediately vacate and surrender the PREMISES. RESIDENT shall notify MANAGEMENT of any changes to said application during the term of this lease or renewal thereof.

  • MANAGEMENT INFORMATION AND FORMAT 2.1 The Supplier agrees to provide timely, full, accurate and complete MI Reports to the Authority which incorporates the data, in the correct format, required by the MI Reporting Template. The initial MI Reporting Template is set out in the Annex to this Framework Schedule 9.
