PSM. Approved Contractors shall inform the work site City contact, the Plant Safety Coordinator, and Plant Manager of any illness or injuries resulting from work performed on or near the PSM Process areas.
PSM. A mentor shall be paid 2% for each additional set of PSM’s.
PSM. PSM agrees to indemnify, defend and hold harmless Customer, its officers, directors, employees, agents and representatives from and against any losses, costs, damages, liabilities, expenses, fees or fines (including reasonable attorneysʼ fees) to the extent incurred as a result of or otherwise arising from any third party claim, allegation, lawsuit, demand, or proceeding based upon any allegation that RumbleUp infringes or misappropriates any third party copyright, trademark, trade dress, trade secret right or other intellectual property right. If an indemnification claim is made under this Section 3.2 or if PSM believes such a claim is reasonably likely, in its sole discretion and at its sole expense, PSM may (i) undertake to procure for Customer the right to continue using RumbleUp, (ii) modify RumbleUp to render it non-infringing but with substantially equivalent functionality; (iii) substitute RumbleUp with a replacement that is non-infringing but with substantially equivalent functionality; or (iv) if none of clauses (i), (ii) or (iii) can be achieved on terms and conditions reasonably acceptable to PSM, terminate this Agreement and Customer may request a refund of any fees that have been paid in advance.
