Závazky zadavatele ohledně odškodnění Sponsor undertakes to defend, indemnify and hold harmless the Institution and the Investigator against any and all third party claims, damages, losses and costs arising out of (i) material breach of this Agreement; or (ii) gross negligent or willful act or omission by Sponsor, including by its officers, employees, contractors or other staff. Sponsor indemnification shall not apply in case of (i) any negligence or intentional misconduct of Institution and or Investigator; (ii) failure of Institution and/or Investigator to comply with all Applicable Regulatory Requirements; (iii) failure of Institution and/or Investigator to perform the Study in strict compliance with (a) the Protocol and (b) all written instructions delivered by Sponsor to the Institution and/or Investigator or (iv) any breach by Institution and/or Investigator of this Agreement.
