Purchase of Authority Notes During Term Interest Rate Period. On the first day of each Term Interest Rate Period which is of the same duration as the immediately preceding Term Interest Rate Period, any Authority Notes or portions thereof in Authorized Denominations shall be purchased at the option of the Noteholder thereof, or with respect to Book-Entry Notes, at the option of the Direct Participant with an ownership interest in Book- Entry Notes, at a price of 100% of the principal amount thereof, plus accrued interest to the Purchase Date, upon (i) delivery to the Trustee, if such Authority Notes are Book-Entry Notes, or otherwise to the Tender Agent, at its Corporate Trust Office of an irrevocable written notice which states the name of the Noteholder of such Authority Note or the Direct Participant for such Authority Note, as applicable, such Direct Participant’s account number, payment instructions with respect to the Purchase Price of such Authority Note, the principal amount and CUSIP number of such Authority Note and the date on which the same shall be purchased, and (ii) (a) if such Authority Notes are not Book-Entry Notes, delivery of such Authority Note and an instrument of transfer thereof, in form satisfactory to the Tender Agent, executed in blank by the Noteholder thereof with the signature guaranteed in accordance with the guidelines set forth by one of the nationally recognized medallion signature programs, at or prior to 12:30 p.m. (New York City time), on the date specified in such notice (or, if the then-current Interest Rate Period is a Term Interest Rate Period of one year or more, by 5:00 p.m. (New York City time) two (2) Business Days prior to such date, except that investment companies registered under the Investment Company Act of 1940 may deliver such Authority Notes by 12:30 p.m. (New York City time) on the date so specified) or (b) if such Authority Notes are Book-Entry Notes, upon confirmation by the Trustee that a Direct Participant with respect to Book-Entry Notes being purchased has an ownership interest in such Book-Entry Note at least equal to the amount specified in such Tender Notice, the transfer, on the registration books of DTC, of the beneficial ownership interest in such Book-Entry Note tendered for purchase to the account of the Trustee, or to the account of a Direct Participant acting on behalf of such Trustee.   • Principal Payments on the Notes On each Payment Date prior to the Maturity Date or the Early Redemption Date, Xxxxxxx Mac (or its agent, the Global Agent) will pay principal on each Class of Original Notes (in each case without regard to any exchanges of Exchangeable Notes for MAC Notes) in reduction of its Class Principal Balance in an amount equal to the portion of the Senior Reduction Amount and/or Subordinate Reduction Amount, as applicable, allocated to reduce the Class Notional Amount of the Corresponding Class of Reference Tranche on such Payment Date pursuant to Sections 3.03 (d) and (e) above. If on the Maturity Date or any Payment Date a Class of MAC Notes that is entitled to principal is outstanding, all principal amounts that are payable by Xxxxxxx Mac on Exchangeable Notes that were exchanged for such MAC Notes (or any MAC Notes further exchanged for such MAC Notes pursuant to Combination 2, 3, 4 or 5) will be allocated to and payable on such MAC Notes in accordance with the exchange proportions applicable to the related Combination.
