Purchaser’s Use. Nothing in this Agreement shall be construed to require Purchaser to make any payment to the Equityholders for Purchaser’s use in a Tax Return for a Post-Closing Tax Period of any excess Tax credit (including any excess foreign tax credits), net operating loss, or other Tax attribute of the Company.
Purchaser’s Use. Purchaser is responsible for ensuring that all personnel are informed of and practice all safety requirements and standards applicable to the Product and are in compliance with all applicable codes, ordinances, regulations, laws and general standards of safety and care.
Purchaser’s Use. With the exception of Section 4.10(f) and Section 4.10(g), nothing in this Agreement shall be construed to require Purchaser or its Affiliates to make any payment to the Indemnifying Holders or any other party for the use of any Tax deduction, net operating loss, credit, refund, or other Tax attribute of the Company or its Subsidiaries.
Purchaser’s Use. Nothing in this Agreement shall be construed to require Purchaser to make any payment to any Selling Shareholder for Purchaser’s use in a Tax Return for a period beginning after the date of this Agreement, of any excess Tax credit (including any excess foreign Tax credits), net operating loss, or other Tax attribute of the Acquired Companies, provided that any benefit or such use shall reduce and be counted against any liability of the Selling Shareholders under Section 6.04 or Section 10.02(a) in connection with Section 3.18 or Section 3.17, and such benefit or such use is not later rejected or disallowed by the applicable tax authorities.
Purchaser’s Use. Purchaser desires to use the Property for the purpose of building and operating fiber optics and telecommunications facilities without a pole to mount an antenna for the reception of video signals.
