Purchaser’s warranty. The Purchaser warrants that it has the power, authority and capacity to enter this agreement and to perform its obligations under this agreement.

Purchaser’s warranty. The purchaser warrants that any design or instruction, furnished or given, will not cause Bremca to infringe any letters, patent, registered design, trademark, or copyright regulation or statute in the performance of the contract.

Notwithstanding any other provision contained herein or any other obligation of Purchaser hereunder, Purchaser, upon acceptance of Products that are the subject of this agreement, warrants that Purchaser, its successors, assigns, agents and employees are industrial users of such Products and possess the knowledge and expertise to use the same in accordance with (i) accepted industry standards (ii) all applicable laws, (iii) prudent safety practices and (iv) operating manuals or other instructions provided by Seller, if any.
Purchaser’s warranty. The Purchaser warrants to the Vendor that the Purchaser has inspected the Property and made its own enquiries concerning the matters relating to this Contract. In particular, the Purchaser warrants to the Vendor that the Purchaser: 5.1 received a statement pursuant to section 32 of the Sale of Land Act in the form attached to this Contract signed by, or on behalf of, the Vendor prior to the Purchaser executing this Contract;
Purchaser’s warranty. Purchaser warrants that it has complied with all necessary requirements to do business in the State of Michigan; that the person(s) executing this Agreement on its behalf is/are authorized to do so; and, if a corporation, that the name and address of Purchaser’s registered agent is . Purchaser shall notify the Register of Deeds immediately, in writing, of any change in its registered agent, their address, and Purchaser’s legal status.
Purchaser’s warranty. (1) Purchaser warrants that it is a Louisiana resident or domiciliary or is an entity authorized to do business in Louisiana, as the case may be, and is duly authorized to enter into this Agreement and purchase the Credits. Purchaser further warrants it has the financial capability to perform under this Agreement and, to the best of Purchaser’s knowledge, there are no legal impediments restricting or otherwise existing that would prevent Purchaser from performing its obligations hereunder.

The Purchaser warrants that at the time of entering into this Agreement, having carefully considered the information provided to it by the Vendor in the course of the negotiations leading up to this Agreement and having carefully considered the Warranties, it has no knowledge of any breach of any of the Warranties. For the purposes of this clause, the Purchaser shall not be deemed to have drawn the conclusion that particular facts known to it constitute a breach of any Warranty unless it has actually drawn that conclusion. The Purchaser further warrants that it has no current intention of making a Claim on the basis of information known to it at the date hereof. ENTIRE AGREEMENT
Purchaser’s warranty any representation made and warranty given by the Purchaser to the Seller as contained in this Agreement, including those pursuant to Article 7.8 and Appendix 7.8; Representative any officer, employee, legal advisor, financial advisor, potential source of financing, accountant or any other agent or advisor, of the Party concerned; Resolution Period has the meaning set out in Article 4.2.4; Restricted Business Design, manufacture or sale of beachwear, resortwear and related accessories; Restricted Period has the meaning set out in Article 15.1; Review Period has the meaning set out in Article 4.2.3; SEC has the meaning set out in Article 11.1; Seller Fashion Fund I B.V., a private company with limited liability (besloten vennootschap met beperkte aansprakelijkheid) incorporated under the laws of the Netherlands, having its corporate seat (statutaire zetel) in Amsterdam, the Netherlands, and its principal place of business at Xxxxxxxxx 000, 0000 XX, Xxxxxxxxxxx, xxx Xxxxxxxxxxx, registered with the Trade Register of the Chamber of Commerce for The Hague under number 34251740;
