Pxxxxxxx. The Employee is employed by Employer as its President and Chief Executive Officer. The Employee desires to resign from such employment, and Employer desires to accept that resignation. The Employee and the Employer desire to set forth the terms and conditions of Employee's resignation and to reach a mutually satisfactory compromise of any and all claims that could be made or might arise out of and relate to Employee's employment with Employer and Employee's resignation from such employment. Employee may revoke this Agreement any time within seven (7) days after the date of execution. Employee must give written notice of revocation to Lawrence R. The Board of Directors of the Company recognizes BULLOCH's potentiax xxxxxxbution to the growth and success of the Company and desires to assure the Company of BULLOCH's servicex xx x management and/or advisory capacity as a Board Member and to compensate him therefor. BULLOCH is willing xx xxxve in such a role with the Company and to commit himself to serve the Company on the terms herein provided. In connection with this service, the Company proposes to grant Bulloch Restxxxxxx Xxxxx on the terms herein provided, including particularly BULLOCH's undertakxxx xx xxsist the Company. BULLOCH's duties wxxx xxxxxde, among other functions, advising the Company as to bidding on projects, securing such work and managing sub-contractors as well as networking with local developers as necessary.
Pxxxxxxx. Xxxxxx hereby leases to Lessee and Lessee leases from Lessor for the term, at the rental, and upon all of the conditions set forth herein, that certain real property situated in the County of San Diego, State of California, commonly known as 7950 Silverton Avenue, Suite 102 and described as approximately 920 xxxxxx xxx xx xxxxxxxx xxxxxxxxal space. Said real property, including the land and all improvements therein, is herein called "the Premises."
Pxxxxxxx. Xxxxxx xereby leases to Lessee real property situated in the County of San Diego, State of California, commonly known as SUITE 104, 1232 LOS VALLECITOS BLVD, SAN MARCOS, and described ax XXXXXXXXXXXXX 0000 XXXXXX XXXX, light industrial unit, including rights to the Common Areas but are not including any rights to the roof. The Premises are a part of the Building. The Premises, the Building, the Common Areas, the land upon which the same are located, along with all other improvements are collectively referred as the Industrial Center. Vehicle Parking. Lessee shall be entitled to three parking spaces, unreserved and unassigned, those portions of the common Areas designated by Lessor for parking. Lessee shall not use more parking spaces than assigned. Parking spaces shall be used only by vehicles no larger than full size passenger automobiles or pick-up trucks, referred to as permitted vehicles, unless approved by Lessor in writing.
Pxxxxxxx. To a Guaranteed Paxxx, xx xxx xxxxess set forth in the Guaranteed Agreement to which such notice relates, with a copy (which shall not constitute notice) to the notice parties for such Guaranteed Party set forth in such agreement.

Each of the Borrxxxx xxx the AEE Entities has good and marketable title to and possession of, or a good and valid leasehold interest in, the Assigned Assets (and the Borrower has good and marketable fee simple title to the Facility Site and AEE2 has good and marketable fee simple title to the Additional Facilities) free and clear of all Liens (except Permitted Liens), including all intellectual property or rights to use intellectual property and other rights required for the conduct of its respective business, but only to the extent such intellectual property and other rights are required and the failure to obtain such property could reasonably be expected to result in (i) a Material Adverse Effect or (ii) a Materially Adverse Effect on (A) AES NY, (B) the Borrower and the AEE Subsidiaries taken as a whole, (C) any Loan Document or (D)
Pxxxxxxx. Xxminine or neuter pronouns shall be substituted for those of the masculine form, and the plural shall be substituted for the singular number, in any place or places in this Lease in which the context may require such substitution or substitutions. For convenience the Landlord and Tenant have bee referred to in neuter form in this Lease.
Pxxxxxxx. The masculine pronoun shall include the feminine and neuter, and the singular and plural, where the context so indicates.
