Qualification; Authority. Each individual executing this Agreement on behalf of a partnership, corporation, limited liability company or as trustee of a trust represents and warrants that he or she is duly authorized to execute and deliver this Agreement on behalf of such entity (and that no additional signatures on behalf of such entity are required in order for this Agreement to be binding). Upon request of either Party, the other Party agrees to deliver such documents reasonably necessary to evidence the foregoing.
Qualification; Authority. Issuer is a Delaware limited liability company duly organized, validly existing and in full force and effect under the laws of the State of Delaware. Issuer has the power and authority to make, execute, deliver and perform this Agreement and to incur and perform the obligations provided for herein, all of which have been duly authorized by all necessary and proper limited liability company action, including member action. Neither the execution, delivery, or performance of this Agreement nor the consummation of the transactions contemplated hereby conflict with or will result in any breach or default of any provision of the Articles of Organization or Operating Agreement of Issuer. This Agreement has been duly and validly executed and delivered by the duly authorized representatives of Issuer, and constitutes the valid, legally binding and enforceable obligations of Issuer in accordance with the terms of this Agreement.

Each individual executing this Lease on behalf of an entity represents and warrants that such entity is duly formed and authorized to do business in the State of California and that he or she is duly authorized to execute and deliver this Lease on behalf of such entity in accordance with authority granted under the formation documents of such entity, and that this Lease is binding upon such entity in accordance with their respective terms.
Qualification; Authority. The Company is duly qualified to do business and is in good standing in the States of the United States and foreign jurisdictions where its ownership or leasing of property or the conduct of its business requires it to be so qualified, other than those States and jurisdictions in which the failure to be so qualified, individually or in the aggregate, is not reasonably likely to have a Material Adverse Effect. The Company has the corporate power and authority necessary to carry on its business as it is now being conducted and to own all its material properties and assets. The Company has in effect all federal, state, local and foreign governmental permits, licenses, certificates of authority, orders and approvals necessary for it to own or lease its properties and assets and to carry on its business as it is now conducted, except for any such authorizations the absence of which, individually or in the aggregate, would not be reasonably likely to have a Material Adverse Effect.
Qualification; Authority. Each Party warrants that it has the legal capacity to enter into this Agreement. Each individual executing this Agreement on behalf of the Party represents, warrants and covenants that (i) the Party is duly organized and existing, (ii) such person is duly authorized to execute and deliver this Agreement on behalf of the Party in accordance with authority granted under the organizational documents of the Party, (iii) the Party is bound under the terms of this Agreement, and (iv) entering into this Agreement does not violate any provision of any other agreement to which the Party is bound.
Qualification; Authority. Each party to this Temporary License represents and warrants to the other that (i) such party is duly organized and existing; (ii) the person or persons executing and delivering this Temporary License on such party’s behalf are duly authorized to do so; (iii) by executing this Temporary License, such party is formally bound to the provisions of this Temporary License; and (iv) entering into this Temporary License does not violate any provision of any other agreement to which said party is bound.

Each individual executing this Agreement on behalf of a party represents, warrants and covenants to the other party that (a) such person is duly authorized to execute and deliver this Agreement on behalf of such party; and (b) such party is bound under the terms of this Agreement.

Each individual executing this Agreement on behalf of a partnership or corporation represents and warrants that such entity is duly formed and authorized to do business in the State of California and that he or she is duly authorized to execute and deliver this Agreement on behalf of such partnership or corporation in accordance with authority granted under the formation documents of such entity, and, if a corporation, by a duly passed resolution of its Board of Directors, that all conditions to the exercise of such authority have been satisfied, and that this Agreement is binding upon such entity in accordance with their respective terms. Upon request of either party, Escrow Holder or Title Company, Buyer and Sellers agree to deliver such documents reasonably necessary to evidence the foregoing.

Each individual executing this PSA on behalf of a party which is an entity, represents, warrants and covenants to the other party that (a) such person is duly authorized to execute and deliver this PSA on behalf of such entity in accordance with authority granted under the organizational documents of such entity, and (b) such entity is bound under the terms of this PSA.
Qualification; Authority. Each individual executing this Agreement on behalf of a Borrower represents, warrants and covenants to the City that (a) such entity is duly formed and authorized to do business in the state of its incorporation, (b) such person is duly authorized to execute and deliver this Agreement on behalf of such entity in accordance with authority granted under the organizational documents of such entity, and (c) such entity is bound under the terms of this Agreement.
