Ready, Willing and Able Sample Clauses

Ready, Willing and Able. Cell Genesys shall be ready, willing and able to supply Novartis with Bulk Product for Clinical Supply, as of the Effective Date, and Commercial Use, as of the Launch Date. In order to make the necessary quantities of the Bulk Product available at the Launch Date, Cell Genesys shall ensure that the required manufacturing capacity to fill the first Firm Order is in place and ready for pre-approval by Regulatory Authorities in accordance with the time schedule set forth in the Validation Plan and as required by the JDC. The parties agree that to the extent that Cell Genesys' failure to meet such agreed to time schedules results in a delay to the commercial launch of the Option Product, such failure will cause great harm to Novartis. In such an event, without limiting any other remedies available to Novartis, Cell Genesys shall provide compensation to Novartis for its failure to meet such time schedule, which compensation shall be equal to [*] per seven (7) Days of delay. Cell Genesys acknowledges and agrees that such compensation is fair and adequate, and that such compensation is not a penalty.

  • Monitoring and Reporting Monitoring shareholder transactions and identifying and reporting suspicious activities that are required to be so identified and reported, including suspicious activity reports or Form 8300 reports, and provide other reports of shareholder activity to the Securities and Exchange Commission, the U.S. Treasury Department, the Internal Revenue Service, and other appropriate authorities, in each case consistent with the Unified AML Program.

  • Training and Education (i) The parties shall work together to develop and implement a training program for client services and the sales and marketing representatives of each party to ensure that a clear and consistent message is delivered to all prospective customers. Following such implementation, each party agrees to train its client services and sales and marketing representatives in accordance with such training program.

  • Training and Support Distributor shall train and support its personnel or subcontractors for the satisfactory completion of its obligations under this Agreement. Supplier will assist in training by furnishing Distributor with English training literature. Supplier may, at his sole discretion, provide Distributor with his own personnel for training.

  • General Cooperation (a) The Parties shall each cooperate fully (and each shall cause its respective Subsidiaries to cooperate fully) with all reasonable requests in writing (“Information Request”) from another Party hereto, or from an agent, representative or advisor to such Party, in connection with the preparation and filing of Tax Returns (including the preparation of Tax Packages), claims for Refunds, Tax Proceedings, and calculations of amounts required to be paid pursuant to this Agreement, in each case, related or attributable to or arising in connection with Taxes of any of the Parties or their respective Subsidiaries covered by this Agreement and the establishment of any reserve required in connection with any financial reporting (a “Tax Matter”). Such cooperation shall include the provision of any information reasonably necessary or helpful in connection with a Tax Matter (“Information”) and shall include, without limitation, at each Party’s own cost:

  • Cooperation and Coordination The Parties acknowledge and agree that it is their mutual objective and intent to minimize, to the extent feasible and legal, taxes payable with respect to their collaborative efforts under this Agreement and that they shall use all commercially reasonable efforts to cooperate and coordinate with each other to achieve such objective.
