Real Estate Transfer. Pursuant to a Real Estate Transfer Agreement between PSI and RMS, an executed copy of which is attached as Exhibit 1.3 hereto, at the Closing Date RMS will transfer certain real estate holdings (the "Real Property") to PSI in exchange for 3,789,393 shares (the "Real Estate Consideration") of PSI Common Stock (the "Real Estate Transaction").
Real Estate Transfer. (a) The City shall convey the Project Parcel to MOI at no cost (who in turn will contribute the Project Parcel to the Owner as a contribution to the Project), pursuant to the terms of a real estate purchase agreement which includes the material terms attached hereto as Exhibit C (the “Project Parcel Purchase Agreement”). The consummation of the purchase and sale of the Project Parcel shall occur pursuant to the terms of the Project Parcel Purchase Agreement and subject to the conditions set forth in Section 3.1 below (the “Project Parcel Closing”).
Real Estate Transfer. The following conditions shall apply to the transfer of the real estate (Property) pursuant to this Agreement:
Real Estate Transfer. Following Closing of the Transactions in their entirety, and confirmation that a fee title interest in the Real Estate has vested in Purchaser as a result of the Closing of the Real Estate Transaction, Purchaser shall deliver to Landing Rock a Warranty Deed in the form attached hereto as Exhibit D, pursuant to which Purchaser shall convey to Landing Rock the lesser of (i) 330 acres of the Real Property or (ii) all such acres of the Real Property which are not zoned for cannabis production or other cannabis use.
