Refusal of Assignment Sample Clauses

The Refusal of Assignment clause prohibits one party from transferring its rights or obligations under the contract to another party without the prior consent of the other contracting party. In practice, this means that if a party wishes to assign the contract—such as selling their interest or delegating their duties—they must first obtain written approval from the non-assigning party. This clause ensures that both parties maintain control over who they are contractually bound to, thereby preventing unwanted or potentially unreliable third parties from becoming involved in the agreement.
