Regulatory Certificate. On the Closing Date, the Placement Agent shall have received a certificate from the Company’s Chief Executive Officer with respect to certain regulatory matters, dated as of the Closing Date, addressed to the Placement Agent in form and substance satisfactory to the Placement Agent.
Regulatory Certificate. The Representative shall have received on each of the Closing Date and the Option Closing Date, if any, a certificate addressed to the Representative dated the Closing Date and any Option Closing Date (if such date is other than the Closing Date), of the Company’s regulatory affairs officer, in a form satisfactory to the Representative, with respect to the regulatory affairs of the Company.
Regulatory Certificate. The Company shall have furnished to the Underwriters a certificate, dated such Closing Date, of its Senior Vice President, Regulatory Affairs with respect to regulatory matters, in form and substance reasonably satisfactory to the Representative, to the effect set forth in Exhibit B hereto
Regulatory Certificate. Regulatory certificate from the Federal Reserve indicating that Borrower is a registered bank holding company that was duly organized and registered and is validly existing and has filed all reports required by the Federal Reserve.
Regulatory Certificate. The Company shall have delivered to the Representative at the Closing Date a certificate addressed to the Representative and dated such date, of the Company’s regulatory affairs officer, in form and substance satisfactory to the Representative.
Regulatory Certificate. At the Closing Time, the Representatives shall have received a regulatory certificate, dated the Closing Time, of the Chief Medical Officer of the Company, in form and substance satisfactory to the Representatives.
Regulatory Certificate. A certificate, dated such Date of Delivery, of the Vice President of Regulatory and Quality Affairs of the Company confirming that the certificate delivered at the Closing Time pursuant to Section 5(e) hereof remains true and correct as of such Date of Delivery.
Regulatory Certificate. On the Closing Date, there shall have been furnished to the Representative, a certificate, dated the Closing Date and addressed to the Representative, as representative of the several Underwriters, signed by the President and Chief Operating Officer, to the effect that, to his knowledge, the representations and warranties of the Company contained in Sections 2(a)(xxiv), 2(a)(xxv) and 2(a)(xxvi) herein are true and correct, as if made at and as of the Closing Date.
Regulatory Certificate. The Representative shall have received on each of the First Closing Date and each applicable Option Securities Closing Date, a certificate addressed to the Representative and dated such date, of the Company’s regulatory affairs officer, in form and substance satisfactory to the Representative.
Regulatory Certificate. The Representatives shall have received a written certificate, dated such Closing date, from the Vice President of Regulatory Affairs of the Company, in the form of Exhibit C hereto.
