REGULATORY COMPLIANCE PERFORMANCE STANDARDS. ‌ 864 Contractor agrees that the regulatory compliance and public perception of the SEC is of 865 extreme importance to the Authority and agrees to perform all operations in such a way 866 as to minimize the amount of regulatory compliance issues with all Applicable Law so that: 867 (i) there are no more than two (2) consecutive months for which the any part of the SEC 868 receives an Area of Concern (AOC) from a regulatory agency as a result of the 869 Contractor’s actions or inactions related to the operational responsibilities as outlined in 870 this Agreement, and, (ii) there are zero (0) months for which the any part of the SEC 871 receives a Notice of Violation (NOV) from any regulatory agency as a result of the 872 Contractor’s actions or inactions related to the operational responsibilities as outlined in 873 this Agreement. 874 The Parties acknowledge that consistent, compliant operation of the SEC is of utmost 875 importance, that poor regulatory performance may adversely affect the Authority, and that 876 the Authority has considered and relied on Contractor’s representations as to its quality of 877 compliance commitment in entering into this Agreement. The Parties further recognize 878 that quantified standards of performance are necessary and appropriate to ensure 879 consistent and reliable service. If Contractor fails to achieve the regulatory compliance 880 performance standards of this Section, Liquidated Damages may be assessed the 881 Authority in the amounts stated in Attachment 10. 882 The Liquidated Damages that may be assessed pursuant to this Section shall not apply 883 to such matters caused by a third party (specifically excluding Contractor’s 884 Subcontractors) that are outside of the control of the Contractor. Notwithstanding the 885 assessment of above Liquidated Damages, Contractor shall be responsible for paying any 886 fines or monetary penalties assessed by any regulatory body associated with any Notice 887 of Violation related to the Contractor responsibilities. 888 889 ARTICLE 6‌ 890 TRANSPORTATION OF MATERIALS

  • Performance Standard Contractor shall perform all work hereunder in a manner consistent with the level of competency and standard of care normally observed by a person practicing in Contractor's profession. County has relied upon the professional ability and training of Contractor as a material inducement to enter into this Agreement. Contractor hereby agrees to provide all services under this Agreement in accordance with generally accepted professional practices and standards of care, as well as the requirements of applicable federal, state and local laws, it being understood that acceptance of Contractor’s work by County shall not operate as a waiver or release. If County determines that any of Contractor's work is not in accordance with such level of competency and standard of care, County, in its sole discretion, shall have the right to do any or all of the following: (a) require Contractor to meet with County to review the quality of the work and resolve matters of concern; (b) require Contractor to repeat the work at no additional charge until it is satisfactory; (c) terminate this Agreement pursuant to the provisions of Article 4; or (d) pursue any and all other remedies at law or in equity.

  • Statutory Compliance ‌ The Union and the Employer agree to cooperate fully in matters pertaining to the prevention of accidents and occupational disease and in the promotion of the health and safety of all employees. There shall be full compliance with all applicable statutes and regulations pertaining to the working environment.
