Buyer and each of its Subsidiaries have timely filed all material reports, registrations and statements, together with any amendments required to be made with respect thereto, that they were required to file since December 31, 1993 with any Governmental Entity, and have paid all fees and assessments due and payable in connection therewith. Except for normal examinations conducted by a Governmental Entity in the regular course of the business of Buyer and its Subsidiaries, and except as set forth in Section 4.16 of Buyer Disclosure Schedule, no Governmental Entity has initiated any proceeding or, to the best knowledge of Buyer, investigation into the business or operations of Buyer or any of its Subsidiaries since December 31, 1993. There is no unresolved material violation, criticism, or exception by any Governmental Entity with respect to any report or statement relating to any examinations of Buyer or any of its Subsidiaries.

Company and Bank have timely filed all material reports, registrations and statements, together with any amendments required to be made with respect thereto, with all governmental or regulatory authorities, agencies, courts, commissions or other entity ("Governmental Entity") and have paid all fees and assessments due and payable in connection therewith. Except for normal examinations conducted by a Governmental Entity in the regular course of the business of Company and Bank, no Governmental Entity has initiated any proceeding or, to the best knowledge of Company, investigation into the business or operations of Company or Bank. To the best knowledge of Company, there is no unresolved material violation, criticism, or exception by any Governmental Entity with respect to any written report or statement relating to any examinations of Company or Bank. Company has made available to Gold all reports of examinations conducted by any Governmental Entity with respect to Company and/or Bank, during the preceding three (3) years. Company will also make available to Gold and Sub any subsequent reports of examination received from any Government Entity between the date hereof and the Effective Time.

No Governmental Entity has initiated any proceeding or investigation into the business or operations of GVTC or the business and operations of GVTC with respect to the Trust Accounts. There is no unresolved violation, criticism or exception asserted in any written report or written statement delivered to GVTC from any Governmental Entity relating to any examinations of GVTC by such Governmental Entity with respect to the Trust Accounts or the operations of GVTC related thereto which would reasonably be expected to have a Material Adverse Effect on the conduct of GVTC’s business with respect to the Trust Accounts.

At Closing, CNC will have timely filed all reports, registrations and statements, together with any amendments required to be made with respect thereto, that it was required to file with any Governmental Entity and will have paid all fees and assessments due and payable in connection therewith. The most recent Office of the Comptroller of the Currency examination rating of CNC’s trust operations was not less than “satisfactory”. No Governmental Entity has initiated any proceeding or, to the Knowledge of CNC, investigation into the business or operations of CNC or the business and operations of CNC with respect to its trust operations. There is no unresolved violation or exception asserted by any Governmental Entity with respect to any report or statement relating to any examinations of CNC with respect to its trust operations which would reasonably be expected to have a Material Adverse Effect on the conduct of CNC’s business.

No Governmental Entity has initiated any proceeding or, to the knowledge of Seller, investigation into the business and operations of Seller with respect to the Trust Accounts. There is no unresolved violation asserted by any Governmental Entity with respect to any report or statement relating to any examinations of Seller with respect to the Trust Accounts.

No Governmental Entity has initiated any proceeding or, to the best knowledge of HSBC, investigation into the business or operations of Trust Company or the business and operations of HSBC with respect to the Trust Accounts. There is no unresolved violation, criticism, or exception by any Governmental Entity with respect to any report or statement relating to any examinations of HSBC or Trust Company (which violation, criticism or exception, in the case of examinations of HSBC, relates to the business and operations conducted, or any other action taken, by HSBC with respect to the Trust Accounts). 3.8
