Reimbursement of Construction Costs. Within five (5) business days after Landlord notifies Tenant of the Effective Date, Tenant shall pay to Senior Lender on behalf of Landlord the amount of Eight Million Dollars ($8,000,000.00), as reimbursement for the cost of constructing specialty elements in the Building performed by Landlord at Tenant's request, and not otherwise required to be performed under Applicable Laws or as part of the Base Building Improvements pursuant to the Work Letter. A description of these specialty elements is attached hereto as Exhibit A and incorporated herein by this reference. Said payment shall be made by wire transfer in accordance with instructions from Landlord. Letter of Credit. The following new Paragraph 33 is hereby added to the Lease:

Reimbursement of Construction Costs. Tenant shall continue to pay five hundred forty-three and 11/100 dollars ($543.11) per month through June 30, 2004 for the amortization of construction costs, previously agreed to under the Lease.

It is understood that, except as specifically provided in Sections 7, 9, 10 and 13 of this Agreement, the Underwriters will pay all of their own fees, costs and expenses (including the fees and disbursements of its counsel), transfer taxes and any advertising expenses in connection with sales or offers from the Underwriters to third parties.
