Relationship to CDBG-DR Requirements and Rental Unit Mix Sample Clauses

Relationship to CDBG-DR Requirements and Rental Unit Mix. The Authority and the Developer are jointly committed to the success of the Rebuilding Plan. They also acknowledge, however, that certain elements of the Rebuilding Plan will require further discussion, approval and/or waivers relative to the CDBG-DR Requirements, and that the size, location and unit mix of the Rental Phases in the Rebuilding Plan has been and will continue to be the subject of substantial interest (and potential disagreement) among numerous stakeholders, including the City, HUD and parties to the Conciliation Agreement. The parties agree to work together in good faith in connection with such discussions and approvals. The Developer specifically acknowledges that the CDBG-DR Requirements will include satisfying relevant provisions of the Conciliation Agreement. The Developer further agrees that it will not request a waiver from any CDBG-DR Requirement without the prior consent of the Authority. To the extent HUD or any other Authority Funding Body requests or requires a change to the income mix (i.e., the proportion of market-rate units, Public Housing Units and other low-income housing tax credit or affordable units) or other material change to the Rebuilding Plan, the Developer will work with the Authority to pursue discussions with such party and attempt to achieve consensus in a manner allowing the Rebuilding Plan to proceed in a manner mutually satisfactory to the Authority and the Developer. The Developer will in any event strive to include not less than 40% market rate units in each Rental Phase per the Authority-adopted Rebuilding Plan. If the Authority and the Developer agree to make a change to the Rebuilding Plan based on the requirements or preferences of certain stakeholders, they will each also work together to xxxxxx support for such change among other stakeholders. If, despite such good faith efforts the Authority and the Developer are not able to agree upon material elements of the Mixed-Income Phases (including relative to income mix) then either party may treat such circumstance as a failure of the Development Contingency identified in Section 10.3.1(v) and either party may opt to withdraw from this Agreement following thirty (30) days prior written notice pursuant to Section 10.3.2.
