REMAINING BUSINESS OF THE DEMERGED COMPANY. 11.1 The Remaining Business of the Demerged Company and all the assets, investments, liabilities and obligations of the Demerged Company, shall continue to belong to and be vested in and be managed by the Demerged Company. With effect from the Effective Date, only the Demerged Company shall be liable to perform and discharge all liabilities and obligations in relation to the Remaining Business of the Demerged Company and the Resulting Company shall not have any liability or obligation in relation to the Remaining Business of the Demerged Company.
REMAINING BUSINESS OF THE DEMERGED COMPANY. 13.1 The Remaining Business of the Demerged Company shall constitute primarily the India focus business carried on by the Demerged Company in India and all the assets, investments, liabilities and obligations of the Demerged Company pertaining to such business, shall continue to belong to and be vested in and be managed by the Demerged Company. With effect from the Effective Date, only the Demerged Company shall be liable to perform and discharge all liabilities and obligations in relation to the Remaining Business of the Demerged Company and TAISPL shall not have any liability or obligation in relation to the Remaining Business of the Demerged Company.
