Removal of Certain Guarantees; Releases from Liabilities. (a) Except as otherwise specified in any Ancillary Agreement, (i) Spinco shall use its commercially reasonable efforts to have, on or prior to the Distribution Date, or as soon as practicable thereafter, all members of the MSG Group removed as guarantors of or obligors for any Liability of Spinco, including in respect of those guarantees, if any, set forth on Schedule C-1 of this Agreement, and (ii) MSG shall use its commercially reasonable efforts to have, on or prior to the Distribution Date, or as soon as practicable thereafter, all members of the Spinco Group removed as guarantors of or obligors for any Liability of MSG, including in respect of those guarantees, if any, set forth on Schedule C-2 of this Agreement.
Removal of Certain Guarantees; Releases from Liabilities. (a) Except as otherwise specified in any Ancillary Agreement, (i) MSG shall use its commercially reasonable efforts to have, on or prior to the Distribution Date, or as soon as practicable thereafter, any member of the Cablevision Group removed as guarantor of or obligor for any Liability of MSG, including in respect of those guarantees, if any, set forth on Schedule C-1 of this Agreement, and (ii) Cablevision shall use its commercially reasonable efforts to have, on or prior to the Distribution Date, or as soon as practicable thereafter, any member of the MSG Group removed as guarantor of or obligor for any Liability of Cablevision, including in respect of those guarantees, if any, set forth on Schedule C-2 of this Agreement.

(a) Except as otherwise specified in any Ancillary Agreement, (i) NRE shall use its commercially reasonable efforts to have, on or prior to the Distribution Date, or as soon as practicable thereafter, any member of the NRF Group removed as guarantor of or obligor for any Liability of NRE; provided, however, that this Section 2.07(a) shall not apply to any guarantee related to the NRE Notes; and (ii) NRF shall use its commercially reasonable efforts to have, on or prior to the Distribution Date, or as soon as practicable thereafter, any member of the NRE Group removed as guarantor of or obligor for any Liability of NRF.

(a) Except as otherwise specified in any Ancillary Agreement, in the event that at any time before or after the Distribution Date, Parent or SpinCo identifies any SpinCo Liability for which any Parent Entity is a guarantor or obligor, SpinCo shall use its commercially reasonable efforts to have, as quickly as practicable, such Entity removed as guarantor of or obligor for any such SpinCo Liability.

(a) Except as otherwise specified in any Ancillary Agreement, (i) AMC shall use its commercially reasonable efforts to have, on or prior to the Distribution Date, or as soon as practicable thereafter, any member of the Cablevision Group removed as guarantor of or obligor for any Liability of AMC, including in respect of those guarantees, if any, set forth on Schedule C-1 of this Agreement, and (ii) Cablevision shall use its commercially reasonable efforts to have, on or prior to the Distribution Date, or as soon as practicable thereafter, any member of the AMC Group removed as guarantor of or obligor for any Liability of Cablevision, including in respect of those guarantees, if any, set forth on Schedule C-2 of this Agreement.

(a) Except as otherwise specified in any Ancillary Agreement, (i) in the event that at any time before or after the Distribution Date, SEACOR or SEACOR Marine identifies any SEACOR Marine Liability for which SEACOR is a guarantor or obligor, SEACOR Marine shall use its commercially reasonable efforts to have, as soon as reasonably practicable, SEACOR removed as guarantor of or obligor for any such Liability of SEACOR Marine, and (ii) in the event that at any time before or after the Distribution Date, SEACOR or SEACOR Marine identifies any SEACOR Liability for which any member of the SEACOR Marine Group is a guarantor or obligor, SEACOR shall use its commercially reasonable efforts to have, as soon as reasonably practicable, any such member of the SEACOR Marine Group removed as guarantor of or obligor for any such Liability of SEACOR.

(a) Except as otherwise specified in any Ancillary Agreement, (i) in the event that at any time before or after the Distribution Date, Demand Media or Rightside identifies any Rightside Liability for which any Demand Media Entity is a guarantor or obligor, Rightside shall use its commercially reasonable efforts to have, as quickly as practicable, such Demand Media Entities removed as guarantor of or obligor for any such Liability of Rightside, and (ii) in the event that at any time before or after the Distribution Date, Demand Media or Rightside identifies any Demand Media Liability for which any Rightside Entity is a guarantor or obligor, Demand Media shall use its commercially reasonable efforts to have, as quickly as practicable, such Rightside Entities removed as guarantor of or obligor for any such Liability of Demand Media.

(a) Except as otherwise specified in any Ancillary Agreement, (i) NSAM shall use its commercially reasonable efforts to have, on or prior to the Distribution Date, or as soon as practicable thereafter, any member of the NorthStar Realty Group removed as guarantor of or obligor for any Liability of NSAM, and (ii) NorthStar Realty shall use its commercially reasonable efforts to have, on or prior to the Distribution Date, or as soon as practicable thereafter, any member of the NSAM Group removed as guarantor of or obligor for any Liability of NorthStar Realty.

(a) Except as otherwise specified in any Ancillary Agreement, (i) in the event that at any time before or after the Distribution Date, PDL or LENSAR identifies any LENSAR Liability for which any PDL Entity is a guarantor or obligor, LENSAR shall use its commercially reasonable efforts to have, as quickly as practicable, such PDL Entities removed as guarantor of or obligor for any such Liability of LENSAR, and (ii) in the event that at any time before or after the Distribution Date, PDL or LENSAR identifies any PDL Liability for which any LENSAR Entity is a guarantor or obligor, PDL shall use its commercially reasonable efforts to have, as quickly as practicable, such LENSAR Entities removed as guarantor of or obligor for any such Liability of PDL.
