Removal of Director Representatives. The Steering Committee, acting in good faith and by a 4/5th supermajority vote, may suspend or remove a Director Representative in its sole discretion, with or without cause, by the written resolution of the Steering Committee. The Steering Committee shall give the Director Representative fifteen (15) days’ prior notice of the suspension or removal and the reason for removal. The Director Representative shall have an opportunity in the manner specified in the notice to rectify the reasons for removal and be heard orally or in writing, by a person or body authorized by the Steering Committee to hear such Director Representative and decide that the proposed action not take place, not less than five (5) days before the expulsion, suspension or termination is effective.
