Removal; Vacancies; Transfer of Duties. Any officer or agent of the Company may be removed from office, with or without cause, by the Board of Managers at a meeting called for that purpose. Any vacancy in the office of President, Vice President, Treasurer, or Secretary for any reason shall be filled by a person designated by the Board of Managers for the unexpired term of the vacant office. The Board of Managers in its sole and absolute discretion may transfer the power and duties, in whole or in part, of any officer to any other officer, or persons, notwithstanding the provisions of this Agreement, except as otherwise provided by the laws of the State of Delaware.
