Representation of Tenant. Tenant represents and warrants to Landlord that a) Tenant has not heretofore assigned or sublet all or any portion of its interest in the Lease; b) no other person, firm or entity has any right, title, or interest in the Lease; c) Tenant has the full right, legal power and actual authority to enter into this Agreement and to terminate the Lease without the consent of any person, firm, or entity; and d) Tenant has the full right, legal power, and actual authority to bind Tenant to the terms and conditions hereof. Tenant further represents and warrants to Landlord that as of the date hereof, there are no, and as of the Termination Date, there shall not be any, mechanics liens or other liens encumbering all or any portion of the Premises by virtue of any act or omission on the part of Tenant, its predecessors, contractors, agents, employees, successors or assigns. Notwithstanding the termination of the Lease and the release of liability provided for herein, the representations and warranties set forth in this Paragraph 8 shall survive the Termination Date and Tenant shall be liable to Landlord for any inaccuracy or any breach thereof.

Representation of Tenant. Although Owner will pay the commission to Xxxxxx, who will in turn pay Xxxxxx, Xxxxxx will not be representing Landlord in the contemplated lease transaction. Broker will be representing only Tenant in such transaction. Xxxxxxxx acknowledges and agrees that it is responsible for any commissions due any other broker with respect to this transaction 5. Owner agrees to disclose to Broker and to Tenant any and all information which Owner has regarding the condition of the property including, but not limited, to structural, mechanical and soil conditions, the presence of and location of asbestos, PCB transformers, other toxic, hazardous or contaminated substances, and underground storage tanks in, on, or about the Property. Broker is authorized to disclose any such information to Tenant.
Representation of Tenant. Tenant represents to Landlord and agrees that: (a) The word “Tenant” as used herein include the Tenant named above as well as its successors and assigns, each of which shall be under the same obligation and liabilities and each of which shall have the same rights, privileges and powers as it would have possessed had it originally signed this least as Tenant. Any notice required or permitted by the terms of this Lease may be given by or to any one of the persons named above as Tenant, and shall have the same force and effect as if given by or to all thereof. (b) If Tenant is a corporation, partnership or any other form of business association or entity, Tenant is duly formed and in good standing, and has full corporate or partnership power and authority, as the case may be, to enter into this Lease and has taken all corporate or partnership action, as the case may be, necessary to carry out the transaction contemplated herein, so that when executed, this Lease constitutes a valid and binding obligation enforceable in accordance with its terms. Tenant shall provide Landlord with corporate resolutions or other proof in a form acceptable to Landlord, authorizing the execution of this Lease at the time of such execution.
Representation of Tenant. Tenant represents that the property described in Paragraph 3(e) as property of the Landlord is delivered "as is" with no additional representations regarding its value or condition, other than a warranty of clear title by Tenant to Landlord.
