Representations and Covenants of Select. (a) Select represents and warrants that it is duly organized as a limited liability company under the laws of the State of Delaware and has all necessary authority and licenses and regulatory and other approvals, to enter into this Agreement and perform its obligations hereunder. The execution, delivery and performance by Select of its obligations hereunder will not conflict with or cause a violation of (i) any of Select’s organizational documents, (ii) any contract, agreement or instrument to which Select is a party or by which Select or its properties is bound, or (iii) any statute, rule, regulation, or administrative order applicable to Select or by which Select or its properties is bound.
