Each of Borrower, New Guarantor, and the other Subsidiary Guarantors hereby confirms, represents and warrants to Administrative Agent, Documentation Agent and Lenders that all of the representations and warranties of Borrower and each Subsidiary Guarantor set forth in the Credit Agreement and the other Loan Documents are true and correct at and as of the time of effectiveness of this Supplement and after giving effect hereto (except to the extent that the facts on which such representations and warranties are based have been changed by the extension of credit under the Credit Agreement), with the same effect as though such representations and warranties had been made as of such time, and that the recitals at the beginning of this Supplement are true and correct in all respects.
