Materiality Qualifier definition

Materiality Qualifier means a qualification to a representation or warranty by use of the word “material,” “materially” or “materiality” or by a reference regarding the occurrence or non-occurrence or possible occurrence or non-occurrence of a Material Adverse Effect or a “materially adverse effect.”

Examples of Materiality Qualifier in a sentence

  • Solely for purposes of this Section 8.2(a), any representation or warranty of Buyer in Schedule 4 (other than representations and warranties of Buyer in Sections 1, 3, 4 and 6 of Schedule 4) that is qualified by any Materiality Qualifier will be read as if each such Materiality Qualifier were not present.
