REPRESENTATIONS AND WARRANTIES OF THE SURVIVING ENTITY. (a) This Agreement has been duly and validly executed and delivered by the Surviving Entity and constitutes a valid and binding agreement of the Surviving Entity, enforceable against the Surviving Entity in accordance with its terms, except as such enforcement may be limited by bankruptcy, insolvency or other similar laws affecting the enforcement of creditors’ rights generally or by general principles of equity.
