Requirement for Financial Assurances. ‌ Contemporaneously with the execution of this Agreement and at any time during the Term, Company may, upon notice to Customer, require Customer to provide Company, and Customer shall provide if Company so requests, financial assurances in respect of Customer’s obligations hereunder in the amount and of the type required by Company (the “Financial Assurances”), all in accordance with the terms set out in Appendix E. Such Financial Assurances may consist of an irrevocable letter of credit in a form and from an issuer acceptable to Company and/or such other security as Company may specify. Initially, the Financial Assurances required by Company to be provided by Customer shall be those set out in Appendix E.

  • Audit Requirements for Recipients of State Financial Assistance For purposes of this paragraph, the word "Contractor" shall be deemed to mean "nonstate entity," as that term is defined in section 4-230 of the Connecticut General Statutes. The Contractor shall provide for an annual financial audit acceptable to the Client Agency for any expenditure of State awarded funds made by the Contractor. Such audit shall include management letters and audit recommendations. The State Auditors of Public Accounts shall have access to all records and accounts for the fiscal year(s) in which the award was made. The Contractor shall comply with federal and State single audit standards as applicable.

  • OPWC Financial Assistance Subject to the terms and conditions contained herein, the OPWC hereby agrees to provide to the Recipient financial assistance not to exceed the amount as set forth in Appendix C of this Agreement for the sole and express purpose of paying or reimbursing the costs certified to the OPWC under this Agreement for the completion of the Project (the "Funds").

  • FINANCIAL ASPECTS The cost of this TRIAL has been initially budgeted at   EUROS, not including VAT, (€ ) (hereinafter, the TRIAL Budget), in accordance with the provisions of the Financial Memorandum for the TRIALS (Schedule I), which specifies all their financial aspects. Once the final payment is made, it will be understood that the SPONSOR’s financial obligations have concluded. Furthermore, the SPONSOR will pay the cost, and arrange the supply, installation, maintenance, calibration and removal of the equipment, and training personnel in operating it, if necessary. The HOSPITAL, the FOUNDATION and the LEAD INVESTIGATOR will, in no case, be liable for its maintenance or its eventual loss. The equipment will consist of the following components:   The Equipment will remain the property of the SPONSOR, or a third party, and will carry the relevant identification to show this. The Equipment may only be used to perform the TRIALS and, when they have ended, will be returned to the SPONSOR, or a third party, at no cost to the HOSPITAL or the FOUNDATION. When the LEAD INVESTIGATOR receives a request for return, they will make the Equipment available to the SPONSOR, or the third party appointed by it to collect it. On termination of the TRIALS, the SPONSOR may assign the Equipment to the HOSPITAL free-of-charge, for which purpose such documents as are necessary will be formalised. In the event that additional needs for equipment are detected during performance of the TRIALS, subsequent to the signature of this contract, the PARTIES must sign an addendum including the equipment made available, respecting the terms and conditions set out in the previous paragraphs.

  • PROVISION OF FINANCIAL ASSISTANCE As authorized by Section II of this Agreement for the sole and express purpose of financing the Project defined and described in Appendix A of this Agreement, the estimated costs of which are set forth and described in Appendix D of this Agreement, the OPWC hereby agrees to provide financial assistance, subject to the terms and conditions contained in this Agreement, from the State Capital Improvements Fund which constitutes the proceeds of the Infrastructure Bonds, in an amount not to exceed Two Hundred Sixty Thousand, Forty Dollars ($260,040). This financial assistance shall be provided in the form of a Grant. The OPWC Grant Control No. is CU06V.

  • PROVISION OF FINANCIAL ASSISTANCE GRANT As authorized by Section 2 of this Agreement for the sole and express purpose of financing the Project defined and described in Appendix A of this Agreement, the estimated costs of which are set forth and described in Appendix D of this Agreement, the OPWC hereby agrees to provide financial assistance, subject to the terms and conditions contained in this Agreement, from the State Capital Improvements Fund which constitutes the proceeds of the Infrastructure Bonds, in an amount not to exceed Two Hundred Forty-Nine Thousand, Nine Hundred Ninety-Eight Dollars ($249,998). This financial assistance shall be provided in the form of a Grant. The OPWC Grant Control No. is CG10R. Once this grant amount is fully expended, the loan amount, which is part of this Project Agreement, will be drawn on for disbursing the remaining OPWC obligations contained in this Agreement.
