Without limiting the manner by which notice otherwise may5 be given: effectively to stockholders pursuant to;, the DGCL, the Certificate of Incorporation or these By-Laws; any notice to stockholders given by the corporation under any provision of the DGCL, the Certificate of Incorporation or these By-Laws shall be effective if given by a form of electronic transmission consented to by the stockholder to whom the notice is given. Any such consent shall be revocable by the stockholder by written notice to the corporation. Any such consent shall be deemed revoked if: the corporation is unable to deliver by electronic transmission two consecutive notices given by the corporation in accordance with such consent; and such inability becomes known to the secretary or an assistant secretary of the corporation or to the transfer agent, or other person responsible for the giving of notice. However, the inadvertent failure to treat such inability as a revocation shall not invalidate any meeting or other action. Requirements of Notice. It is understood that, because the Sublicensing Party may be providing the Sublicense Notice to the Other Party prior to the commencement of material and substantial negotiations with a Third Party, the Sublicensing Party may not be able to define the entire or exact scope of the rights to be granted, and accordingly, so long as the Sublicense Notice substantially describes the rights granted to the applicable Third Party, then the Sublicensing Party shall be deemed to have satisfied its obligations under this Section 8.3. The only obligations of the Other Party and the Sublicensing Party under this Section 8.3 are as expressly stated therein, and there are no further implied obligations relating to the matters contemplated therein. The CRF Subsidy Request Report - Recap of Tenant Income Certification shall be prepared as of the last day of each calendar month during the period of performance and shall be submitted to XXXXxxxxxxxx@XxxxxxxXxxxxxx.xxx and Florida Housing’s monitoring agent no later than the 15th day of the following month. The December 2020 request will be due on or before December 15th. The Grantee will submit executed Coronavirus Relief Fund Rental Assistance Applications and supporting documentation to Florida Housing’s monitoring agent within 5 days upon the monitoring agent’s request.

  • Effect of Notice Any notice given by the indemnifying Party to an Indemnified Party referred to in Sections 12.1(c) or 12.2(d) above of participation in or control of any action by the indemnifying Party will in no event be deemed to be an admission by the indemnifying Party of liability, culpability or responsibility, and the indemnifying Party will remain free to contest liability with respect to the claim among the Parties or otherwise.
