Reservation of Sufficient Common Shares Sample Clauses

Reservation of Sufficient Common Shares. There have been reserved, and the Company shall at all times through the Expiration Date keep reserved, out of its authorized but unissued Common Stock, solely for the purpose of the issuance of Common Shares in accordance with the terms of this Warrant Certificate, a number of shares of Common Stock sufficient to provide for the exercise of the rights of purchase represented by the outstanding Warrants. The transfer agent for the Common Stock and every subsequent transfer agent for any shares of the Company’s capital stock issuable upon the exercise of any of the rights of purchase aforesaid shall be irrevocably authorized and directed at all times to reserve such number of authorized shares as shall be required for such purpose. If applicable, the Company shall supply such transfer agents with duly executed stock certificates for such purposes. The Company shall furnish such transfer agent with a copy of all notices of adjustments and certificates related thereto, transmitted to the Holder pursuant to Section 4.1.

Reservation of Sufficient Common Shares. For so long as the Warrants remain outstanding, the Corporation shall reserve and keep available for issue upon the exercise of the Warrants such number of authorized but un-issued Common Shares or other shares in the capital of the Corporation as will be required to satisfy in full the acquisition rights of the Warrantholder pursuant to the Warrants.
Reservation of Sufficient Common Shares. The Corporation shall, for so long as the Principal Amount is outstanding, reserve, allot and keep available out of its authorized but unissued Common Shares, for the purpose of effecting the conversion of the Debentures either by the Holder Conversion or Mandatory Conversion, such number of Debenture Shares, or such other securities as may be applicable, as shall from time to time be sufficient to effect the conversion of the Principal Amount of the Debentures. As a condition precedent to the taking of any action to effect any event described in Section 3.3, the Corporation shall take any corporate action which may be necessary or desirable in order that the Corporation shall have unissued and reserved in its authorized capital, and may validly and legally issue, the Debenture Shares or such other securities as may be applicable to which the Holder is entitled on the conversion of the Debenture in accordance with the provisions hereof. The Corporation covenants with the Holder that all Debenture Shares which shall be so issuable shall, on conversion of any Debenture, be duly and validly issued as fully paid and non-assessable.

The Company will take all such action as may be necessary to assure that such shares of the Company’s Common Stock may be issued as provided herein without violation of any applicable law or regulation, or of any requirements of any domestic securities exchange upon which the stock may be listed. The Company will not take any action which would result in any adjustment of the Stock Purchase Price (as defined in Section 4 hereof) if the total number of shares of the Company’s Common Stock issuable after such action upon exercise or conversion of all outstanding warrants, together with all shares then outstanding and all shares then issuable upon exercise of all options and upon the conversion of all convertible securities then outstanding, would exceed the total number of shares of the Company’s Common Stock then authorized by the Company’s Articles of Incorporation.

  • Reservation and Availability of Shares of Preferred Stock (a) The Company covenants and agrees that it will cause to be reserved and kept available out of its authorized and unissued shares of Preferred Stock or out of authorized and issued shares of Preferred Stock held in its treasury, such number of shares of Preferred Stock as will from time to time be sufficient to permit the exercise in full of all outstanding Rights.
