Reserve Report Confirmation Letters. On the date of this Agreement and on the Closing Date, Netherland Xxxxxx & Associates, Inc. shall have furnished to the Representatives, at the request of the Company, letters, dated the respective dates of delivery thereof and addressed to the Initial Purchasers, in form and substance reasonably satisfactory to the Representatives, containing statements and information with respect to the estimated oil and gas reserves of the Xxx Entities as reported in letters to the Company.
Reserve Report Confirmation Letters. On the date of this Agreement and on the Closing Date, XxXxxxxx and XxxXxxxxxxx shall have furnished to the Representative, at the request of the Company, letters, dated the respective dates of delivery thereof and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representative, containing statements and information with respect to the oil and gas reserves of the Company and its subsidiaries as reported in letters to the Company. All opinions, letters, certificates and evidence mentioned above or elsewhere in this Agreement shall be deemed to be in compliance with the provisions hereof only if they are in form and substance reasonably satisfactory to counsel for the Underwriters.
Reserve Report Confirmation Letters. On the date of this Agreement and on the Closing Date, Xxx Xxxxxxx and Associates, Inc., Xxxx Petroleum Engineering Services Inc., Xxxxx Xxxxx Company, L.P. and Netherland, Xxxxxx & Associates, Inc., each shall have furnished to the Representative, at the request of the Company, letters, dated the respective dates of delivery thereof and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representative, containing statements and information with respect to the estimated oil and gas reserves of the Company and its subsidiaries contained in the Registration Statement, the Time of Sale Information and the Prospectus.
Reserve Report Confirmation Letters. On the date of this Agreement and on the Closing Date or the Additional Closing Date, as the case may be, each of Rxxxx X. Xxxxx Associates, Inc. and Mxxxxx Associates, Inc. shall have furnished to the Representative, at the request of the Company, reserve report confirmation letters, dated the respective dates of delivery thereof and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, containing statements and information of the type customarily included in such letters to underwriters with respect to the oil and gas reserve and other operational information of the Company and its subsidiaries contained in the Registration Statement, the Time of Sale Information and the Prospectus.
Reserve Report Confirmation Letters. On each Closing Date, D&M shall have furnished to the Representative, at the request of the Company, letters, dated the respective dates of delivery thereof and addressed to the Underwriters, in form and substance reasonably satisfactory to the Underwriters, containing statements and information of the type customarily included in reserves engineers’ “confirmation letters” to underwriters with respect to the oil and gas reserves of the Company and its Subsidiaries, as reported in letters to the Company and as reported in the Time of Sale Information, the U.S. Prospectus, and the Final Canadian Prospectus.
Reserve Report Confirmation Letters. At the time of the execution of this Agreement, the Initial Purchasers shall have received from Netherland a letter, dated the date hereof, in form and substance satisfactory to the Representative, with respect to the statements and certain information contained in the Pricing Disclosure Package and certain other customary matters. In addition, on the Closing Date, the Initial Purchasers shall have received from Netherland a letter, dated as of the Closing Date, in form and substance satisfactory to the Representative, in the form of the letter delivered on the date hereof, except that (i) it shall cover the statements and certain information in the Final Offering Memorandum and any amendment or supplement thereto and (ii) procedures shall be brought down to a date no more than three days prior to the Closing Date.
Reserve Report Confirmation Letters. On the Closing Date (i) Gxxxxxx, Xxxxx & Associates, Ltd. shall have furnished to the Representatives, at the request of the Company, letters, dated the respective dates of delivery thereof and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, containing statements and information with respect to the estimated oil and gas reserves of the Company as reported in letters to the Company; and (ii) Netherland, Sxxxxx & Associates, Inc. shall have furnished to the Representatives, at the request of the Company, letters, dated the respective dates of delivery thereof and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, containing statements and information with respect to the estimated oil and gas reserves of the Acquisition Assets as reported in letters to the Company. All opinions, letters, certificates and evidence mentioned above or elsewhere in this Agreement shall be deemed to be in compliance with the provisions hereof only if they are in form and substance reasonably satisfactory to counsel for the Underwriters.
Reserve Report Confirmation Letters. At the time of the execution of this Agreement, the Initial Purchaser shall have received from Netherland, a letter, dated the date hereof, in form and substance satisfactory to the Initial Purchaser, with respect to the statements and certain information contained in the Pricing Disclosure Package and certain other customary matters. Reserve Report Confirmation Letters. At the time of the execution of this Agreement, the Representative shall have received from each of Schlumberger and Netherland, a letter, dated such date, in form and substance satisfactory to the Representative, together with signed or reproduced copies of such letter for each of the other Underwriters with respect to the statements and certain information contained in the Registration Statement, the General Disclosure Package and the Prospectus regarding reserve data.
Reserve Report Confirmation Letters. The Representative shall have received letters, dated, respectively, the date hereof and each Closing Date, of the Company containing statements and information with respect to the estimated oil and gas reserves of the Company and its subsidiaries as prepared by the Company and as reviewed by Xxxxxxx XxXxxxxx & Associates, Inc. and Xxxxx Xxxxx Company L.P. in letters to the Company, in form and substance satisfactory to the Representative and addressed to the Underwriters.
