Resignation by Officer. Should Officer resign his employment hereunder for reasons other than disability, this Agreement shall terminate, provided however that his obligations under Section 5 hereof shall continue after his resignation. In the event of resignation by Officer, the Officer shall be entitled to twelve months of continuation of his salary and twelve months of the Company’s then-current contribution to its group health plan plus any vested benefits. No other compensation or benefits will be provided. Any payment to be made pursuant to this subsection 4(e) shall not be made and any prior payment shall be subject to repayment in full should Officer violate any of his obligations under Section 5 hereof.

Resignation by Officer. Absent a Change in Control or Nonrenewal. Aside from Officer's rights under Sections 1.2(c) and 1.2(d), Officer may terminate his employment hereunder, upon 90 days advance written notice, and such termination shall terminate all of Officer's rights hereunder, and such termination shall not affect PFC's rights to pursue remedies for breaches of this Agreement. It is understood that a resignation by Officer under Sections 1.2(c) or (d) shall not be construed as a termination under this Section.
Resignation by Officer. If the Officer voluntarily resigns, at the discretion of both parties, NLCS may present an alternative Officer for Board consideration and approval to continue the duties under this Agreement. If the Board chooses to end its relationship with NLCS as a result of such voluntary resignation by the Officer, the contract with NLCS would end, and the Company would pay NLCS only for fees and Out of Pocket Expenses accrued up to the point in time when the Board’s new Officer officially assumes responsibility. NLCS will make every effort to assist the Board in a smooth transition during this period.

Upon the acceptance of any appointment as Agent hereunder by a successor bank, such successor shall succeed to and become vested with all the rights, powers, privileges and duties of the retiring Agent and the retiring Agent shall be discharged from its duties and obligations hereunder. After the Agent’s resignation hereunder, the provisions of this Article and Section 9.05 shall continue in effect for its benefit in respect of any actions taken or omitted to be taken by it while it was acting as Agent.
