RESOLUTION OF. CONTROVERSIES You shall be entitled to seek specific performance of your right to be paid to the Date of Termination during the pendency of any dispute or controversy arising under or in connection with this Agreement. All other disputes, claims or controversies arising under or in connection with this Agreement shall be settled exclusively by binding arbitration in the greater Kansas City area in accordance with the rules of the American Arbitration Association then in effect; provided, however, that three arbitrators shall be appointed, one by the Company, one by you and the third of whom shall be appointed by the first two arbitrators.
RESOLUTION OF. With respect to any dispute, controversy, difference or claim that may arise under any theory of law between the Parties and not [ *** ], out of or in relation to or in connection with this Option Agreement (including [ *** ]) that is not resolved pursuant to Section 6.1, each Party shall have the right to pursue all remedies in law or equity in a court of competent jurisdiction.
RESOLUTION OF. 3. In recognition of the unique circumstances of this case and the discussions held between the Parties, the Parties acknowledge that it is in the best interest of all involved to reach an equitable resolution. This settlement is consistent with the principles of fairness and the discretionary powers granted to the Director under applicable laws.
