Responsibilities of JOC. The Joint Operating Committee shall have the authority to make all decisions under Article 2 and Article 5 of this Agreement, including without limitation all actions under the 3-Way Agreement or outside the 3-way Agreement in the event of termination or expiration of the 3-way Agreement, as set forth in Sections 2.2 and 2.3. Neither Party shall take any action under the 3-Way Agreement or any action to Exploit the HIV Barrel Product or any New HIV Barrel Product except pursuant to a specific decision of the JOC.
